Job Description:

This attorney will be part of the U.S. Legal and Compliance team and has primary responsibility for leading, coordinating, and providing the following for Aerovel Corporation (the Company): legal support, corporate governance, its anti-bribery and corruption (ABC) and ethics & compliance (E&C) program, and oversight of its export compliance function. Will be responsible for advising internal and external customers, as well as Airbus colleagues worldwide, on U.S. legal and compliance matters related. In addition, the attorney must be ready to handle anything and everything that walks through the door and to handle high priority and complex projects. All responsibilities will be aligned with Airbus Helicopter, Inc. (AHI) Head of Legal and Compliance.

Primary Responsibilities:

  • Legal Support & Corporate Governance: 30%
  • Provide legal advice to management and other personnel on request or when an existing or potential issue is identified.
  • Review, on request, correspondence, internal, and external contracts, including proposed revisions thereto, to provide advice and input.
  • Draft contracts, amendments, or contractual language, as required, to support sales and procurement of products and services, assist with the licensing of software and protection of intellectual property and data, and for any other required purposes.
  • Assist management, as needed, in discussions of agreements with customers, vendors, and other external entities.
  • Perform other assignments relating to legal support of projects, transactions, initiatives, or other matters, as directed by the Director, Finance.
  • Advise Human Resources and management on immigration requirements with respect to hiring or maintaining employment of foreign nationals and coordinate with outside immigration counsel, Human Resources, and management to obtain requisite approvals for such hiring or continued employment.
  • Provide legal and general business advice to Human Resources on proposed employee terminations and other disciplinary actions.
  • Participate in acquisition and growth activities, including investigations, evaluations, and agreement discussions aligned with corporate objectives and plans established by executive management or the Board of Directors.
  • Serve as corporate Secretary, lead relations with Companys Board of Directors, prepare necessary documents for Board activities, and maintain corporate books and records as required.
  • Prepare and file periodic reports for states in which the company is incorporated or registered to conduct business and assess and align with obligations to register in other jurisdictions based on activities.

  • ABC and E&C Program Management: 20%
  • Provide operational leadership and strategic direction to implement and sustain the ABC and E&C program. Responsible for creating and leading program assessments, developing and implementing action plans, and championing the program. Requires regular interaction with and advice to other functions.
  • Promote, enhance, and sustain a training program for Airbus group ABC and E&C policies/directives, methods and initiatives in order to promote a strong ethical culture consistent with Airbus Values, Code of Conduct, and Speak Up principles and to ensure awareness of the program.
  • Provide training and guidance on and handle compliance with Airbus tools for group ABC and E&C policies/directives and methods, including, but not limited to, Gifts & Hospitality, Sponsorship, Donations & Corporate Memberships, Anti-Money Laundering/Know Your Customer, Supplier Compliance Review/Know Your Supplier, and Conflicts of Interest.
  • Monitor Airbus and external resources for changes in U.S. federal, state, and local laws and regulations or to policies/directives and methods, including the implementation of new ones on additional subjects, communicate such changes and additions to applicable Company personnel and ensure such information is cascaded, and prepare, lead, and/or refine Company practices and procedures to implement them.
  • Establish and maintain a central repository, accessible to Company personnel, of current versions of applicable group, divisional, or ABC and E&C regional policies/directives, methods, forms, and other documents.

  • Third Party and Transactions Management: 15%
  • Direct and implement the Companys compliance with Airbus and Airbus Helicopters policies/directives, methods, processes & guidelines with respect to Third Party and Transactions Management (as defined in such policies/directives and including, but not limited to, sales intermediaries, lobbyists/special advisors, distributors, resellers, mergers & acquisitions, partnerships, joint ventures, and teaming agreements), as tailored to applicable U.S., state, or local laws, regulations, or cultural norms.
  • Promulgate procedures and practices to ensure that the Company follows the foregoing requirements.
  • Develop and sustain a training program and tools to promote awareness of and compliance with these Third Party and Transaction Management requirements among all affected employees and senior Company management.
  • Coordinate and lead data collection, due diligence reviews, and risk evaluations to obtain requisite approvals for origination or renewal of engagements of sales intermediaries, lobbyists/special advisors, and distributors/resellers in accordance with applicable Third Party Management policies/directives and for mergers & acquisitions, partnerships, joint ventures, teaming agreements, and any other covered arrangements in accordance with applicable Transaction Management policies/directives.
  • Draft and obtain execution of contracts with duly approved Third Parties aligned with applicable group, divisional, and/or regional requirements.
  • Lead compliance with policies/directives and methods on payment of Third Parties, including obtaining approval of invoices in Airbus eNESS tool when required.
  • Draft, negotiate, and/or provide legal advice with respect to contracts for transactions.
  • Risk Management & Support Management: 15%
  • Lead, in coordination with US OneRoof Human Resources management, the investigation of matters relating to the Company reported to Airbus OpenLine, any resulting corrective or remedial action, and any related reporting to the compliance organization.
  • Lead reporting of Company investigations in the Alert Management Module (AMM) of Airbus MyIntegrity platform.
  • Direct and lead procedures to detect, investigate, and remediate non-compliance. Prepare and coordinate disclosures to U.S. governmental authorities.
  • Support preparation of Compliance portions of proposal presentations to Airbus Helicopters Finance Committee or other reviewing entities.
  • Perform compliance assessments, as required, in accordance with Anti-Money Laundering/Know Your Customer and Supplier Compliance Review/Know Your Supplier directives and methods.
  • Represent the Company, as requested, in associations and other outside forums and with government departments and agencies.
  • Coordinate risk assessments and serve as the focal point pertaining to ABC and E&C as part of the Airbus Enterprise Risk Management system.
  • Develop and maintain strong collaborative relationships with Airbus North America One Roof and Airbus Helicopters compliance organizations, as well as with compliance personnel at Airbus headquarters and in other Airbus companies in North America.
  • Advise, instruct, and support Ethics & Compliance Representative(s) (ECRs) and identify new, additional, or replacement ECR(s), as needed, and support their appointment and induction into the Airbus ECR network.
  • Establish, implement, and monitor appropriate metrics to measure the effectiveness and continuous improvement. Prepare reports for senior leadership, as requested.
  • Identify and lead ABC and E&C resource requirements for budgeting and execution.

  • Export Compliance: 10%
  • Oversee management of obligations under U.S. export regulations and applicable Airbus regional guidance (including, without limitation, the Airbus U.S.A. Export & Trade Compliance Internal Control Plan or any successor governance document) and, to the extent applicable, group or divisional guidance, with the day-to-day operations of export compliance to be carried out by a third-party provider and supported by AHIs Export Compliance team and the Airbus Head of Export Control for the U.S.
  • Oversee the development, implementation, and communication of policies, procedures, working instructions, and other documents to be created for the Company by the team and the training of personnel on said governance.

  • Claims & Litigation Support: 10%
  • Help with the prosecution or defense of any formal legal claims brought by or against the Company, including assisting with the issuance and implementation of litigation holds and with the collection and provision of relevant information and documentation, as well as the identification of subject matter experts and fact witnesses, to respond to discovery requests.

Qualified Experience and Training:

Education:

  • Juris Doctorate from an accredited law school

Experience:

Required

  • Minimum of seven (7) years practicing law.
  • Minimum of seven (7) years with management of or providing legal support for ABC or E&C matters or a combination of compliance, operations, program/function management, and/or risk management roles.

Preferred

  • Experience leading multi-functional teams with members that are not in a reporting relationship.
  • Experience working in a large, diverse, multi-national organization.
  • Prior corporate legal experience in the aerospace industry or as outside counsel representing aerospace industry clients.
  • Prior experience in creating and implementing, managing, or giving legal counsel and support to an ABC, E&C, or other risk management program.

Qualified Skills:

Knowledge, Skills, Demonstrated Capabilities:

Required

  • Experience with global organizations and international transactions, particularly those involving Europe.
  • Ability to work under pressure and effectively manage multiple complex projects and responsibilities with competing timelines and due dates.
  • Experience in and skills to achieve independent research and analysis of issues, provide related clear and understandable guidance to client representatives regarding potential risks, and develop mitigation plans and alternative solutions for legal, compliance, and contractual risks.
  • Must be self-starter, operating independently, as well as functioning as a productive team member.

Preferred

  • Knowledge of U.S. regulatory matters (e.g., antitrust, CFIUS, ESG, immigration, employee benefits, export control, Federal Aviation Regulations) and bankruptcy laws.
  • Knowledge of aerospace or aviation industry.
  • Knowledge of and experience with government contracts, including the Federal Acquisition Regulations and Defense Federal Acquisition Regulation Supplement.
  • Eye for business, including a well-developed understanding of the business model and associated risks so that alternative approaches may be considered, developed and implemented.
  • Experience with international transactions involving countries in the Middle East and/or Africa.
  • Experience with software licensing, data-centric service agreements, and other digital transactions.

Level of Decision Making:

  • Position is responsible for directing, managing, and coordinating a wide range of complex activities to implement detailed Airbus ABC and E&C compliance policies/directives/methods and programs with Company personnel, with various external actors (including sales intermediaries, lobbyists/special advisors, distributors, and resellers as defined or classified by Airbus or Airbus Helicopters), and in complex transactions (mergers & acquisitions, joint ventures, partnerships, consortiums, and teaming agreements). The responsibilities for legal support, contract drafting, negotiation, and legal advice, export compliance oversight, and claims & litigation support likewise entail analysis and execution of complex and often complicated requests, issues, or assignments. This position requires integrity and resolution in decision-making, particularly in addressing competing or conflicting interests.

Job Dimensions:

  • Directly responsible for ensuring corporate adherence to Airbus ABC and E&C requirements across all business function areas and contributes to other matters requiring legal support, adherence to applicable export control regulations, and/or successful resolution of legal claims.
