Job Summary: As the Chief Legal Officer, you'll report directly to the CEO and Executive Team, providing crucial support across various functions including franchise law, contract administration, vendor agreements, intellectual property matters, corporate governance, and risk management.

Key Responsibilities:

Franchise Legal Administration: Franchise contract management, renewal updates, filings, and compliance.

Legal Analysis: Conduct comprehensive analyses of legal issues, employing risk assessment techniques and pragmatic decision-making strategies.

Compliance Oversight: Develop internal policies and procedures to ensure adherence to international, federal, state, and local laws and regulations.

HR and Employment Support: Assist in navigating HR and employment-related matters.

Contract Management: Support contract execution, draft template agreements, manage existing contracts, and provide guidance on best practices and standards in transactional law.

Litigation Management: Oversee litigation matters with the assistance of external counsel.

Collaboration: Work closely with the HomeFront Brands team and partner companies to foster collaboration and synergy.

Corporate Development: Partner with Corporate Development and coordinate cross-functional legal experts to facilitate M&A and other corporate transactions efficiently.

Transactional Leadership: Lead all legal aspects of transactions, providing guidance to senior executives, drafting preliminary documentation, managing deal processes, coordinating due diligence, and negotiating deal documentation.

Governance and Compliance: Manage governance and compliance matters for corporate subsidiaries and joint ventures, including drafting and negotiating documentation and maintaining subsidiary records.

Continuous Learning: Stay updated on legal developments and engage in effective networking to share expertise across the organization.

Additional Responsibilities:

Assist in other franchise legal areas as required.

Qualifications:
  • 10+ years of experience as a practicing attorney, or in-house counsel, demonstrating a strong track record of success.
  • Extensive knowledge of contract law, corporate finance, and other corporate transactions.
  • Previous experience in property services, ideally within a corporate or legal capacity.
  • Demonstrated experience working with big brands and franchises, including multi-brand environments.
  • Interest and expertise in various corporate and transactional matters.
  • Exceptional judgment and ability to prioritize issues effectively in a fast-paced environment.
  • Strong negotiation, communication, and interpersonal skills.
  • Unwavering integrity and commitment to ethical principles.
  • Ability to work well in a matrixed organization and command respect from colleagues.
  • JD degree from an accredited university.
