The Impact Youll Make in this Role
As Senior Corporate Counsel, the candidate will join the Legal Securities and M&A team and will interact with, support various groups across the company with a primary focus on securities, corporate governance, M&A, finance and other corporate legal matters. This person will report to the Vice President, Associate General Counsel M&A and Securities. The candidate will provide counsel on securities, corporate governance matters, corporate finance and ESG matters, including drafting Forms 10-K, 10-Q and 8-K as well as proxy materials, preparation for Board meetings, preparing, managing and implementing corporate governance and related policies, advising on corporate finance matters and preparing, managing and implementing corporate policies. Stay up-to-date and keep Legal team advised on external governance trends, securities law and NYSE regulatory updates and ESG regulations, general legal issues and best practices. Provide legal training to members of management and business partners. Provide support for M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting, and negotiating deal agreements, and actively managing deal process and execution. Provide support on corporate and other transactions and special projects.
Your Skills and Expertise
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:
- Juris Doctorate from an accredited law school and seven (7) years of experience as a corporate law generalist with experience in Securities and M&A work
AND
In addition to the above requirements, the following are also required:
- Required licensure to practice law within at least one state
- 4 years of experience drafting 34 act reports and security compliance
Additional qualifications that could help you succeed even further in this role include:
- Demonstrated ability to perform successfully independently and cross-functional teams
- Be able to handle multiple projects in fast-paced environment and exercise sound legal judgment
- Excellent interpersonal, strategic thinking, communication, and organizational skills
- Familiarity with the medical devices industry
Work location: Remote United States
Travel: May include up to 20% domestic
Relocation Assistance: May be authorized
