BWXT is currently seeking Legal Counsel for its Advanced Technologies location in Washington, DC or Lynchburg, VA !

BWXT Advanced Technologies LLC (BWXT AT) is an entrepreneurial and agile R&D arm of BWX Technologies, Inc., a trusted provider of critical components and services to commercial customers and the United States Government. BWXT AT is currently seeking an attorney to engage in both commercial and government contracts, compliance, and other issues for BWXT AT and its two sister companies located in the UK and California respectively. Attorneys who have 0-3 years of experience but who are eager to learn and engage will be considered. Attorneys with greater than 3 years of experience are also welcome to apply. This position and its expectations can be adjusted based on the candidate profile. This is a great opportunity for attorneys who would like to gain substantive experience in an in-house corporate setting and/or who are interested in engaging in a legal practice that supports advanced research and development activities in a corporate environment.

The ideal candidate is expected to actively engage in contracts support, providing pro-active and actionable solutions and truly partnering with business, technical, and Legal colleagues in a dynamic environment. Viable candidates will meet minimum Job Qualifications/Requirements listed below. Candidates with Additional Skills listed below will be of particular interest. Candidates who can show willingness or interest in the areas of focus listed below will be considered. This position directly reports to the Assistant General Counsel, BWXT AT, with a dotted line to the Deputy General Counsel.There is opportunity for travel, including domestic and international travel.

Job Duties and Requirements:

Contract/Risk Review

  • Review both commercial and government contracts, subcontracts, suppliers agreements, purchase orders, proposals, and other documents to identify risks.
  • Coordinate with managing attorney and other stakeholders to develop legal strategies to mitigate risks and address issues.
  • Coordinate with various stakeholders to develop risk mitigation strategies.
  • Coordinate with and provide Legal guidance to internal clients.
  • Support requests for deviations from Company standard terms and conditions.

Contract Development and Negotiations

  • Draft and present clearly written legal documents (e.g., contracts, purchase orders, leases, licenses, non-disclosure agreements, letters, etc.) to the managing attorney and others for review.
  • Negotiate legal/commercial terms and conditions using discretion in revising contract clauses within contracting guideline requirements.

Strategic Counsel

  • Research and analyze applicable statutes, regulations and case law.
  • Coordinate with outside legal specialists when necessary.
  • Conduct training sessions to ensure understanding and reinforce compliance.

Legal Dispute Management

  • Assist senior attorneys in resolving disputes and settlement positions.

Policy/Procedure Awareness

  • Ensure internal clients are aware of and are properly implementing corporate administrative policies and procedures, particularly those newly instituted.
  • Review and, if necessary, publicize administrative policies and procedures.
  • Conduct training sessions.

Proprietary/Confidential Information

  • Approve non-disclosure agreement scopes; negotiate outstanding issues in non-disclosure agreements;
  • Review publicity released and other promotional material and advise Communications of any prejudicial and/or confidential content.
  • Assist and advise on implementation of companys Proprietary Information policy, including providing direction for obtaining necessary approvals for disclosure to customers and suppliers.

Minimum Requirements:

  • A Juris Doctor degree from an accredited law school.
  • Must be admitted to and in good standing with a state bar in the United States.

Job Qualifications / Requirements:

  • Good communications and presentation skills (both written and verbal).
  • Must be willing to be a pro-active partner to different corporate departments (Business, Technical, and Legal).
  • Must have good time management and organizational skills.
  • Must exercise sound judgement.
  • Must maintain the highest ethical standard of practice, including compliance with all corporate policies and procedures.
  • Must be willing to learn new subject matters and engage in new areas of excellence.
  • High degree of adaptability and ability to quickly pivot between different matters is required.
  • Proficiency in office computer and software including Microsoft, PowerPoint, Adobe Acrobat, and Excel.
  • Domestic and international travel may be required.
  • Must be able to legally work in the U.S. and be a U.S. citizen with no dual citizenship.
  • Must be eligible to obtain and maintain a U.S. Department of Energy (DOE) or Department of Defense (DOD) security clearance, whichever is required.

Additional Skills:

  • Familiarity/experience with commercial and/or government contracts.
  • Familiarity/experience in a high-tech industry.
