About the role:

Apprentice is looking for an experienced commercial attorney to lead legal negotiations with our customers and vendors and efficiently bring deals to a favorable close. We are looking for a high performer who has exceptional communication skills and is adaptable, practical, loves to learn, and operates with a high degree of integrity. You will be Apprentice’s second attorney, with opportunity to assist in areas beyond commercial contracts.

This role is located in the U.S. and will report to the General Counsel. You can be fully remote, with the expectation you will to travel to Apprentice’s headquarters in Jersey City, NJ, across the Hudson River from New York City, at least quarterly.

Key Responsibilities:

● Act as a true legal partner to internal business teams on a variety of legal topics pertaining to sales agreements, vendor agreements, compliance, privacy and security.

● Identify legal risk and find innovative solutions to any issues that arise.

● Draft and negotiate agreements, including SaaS agreements, data privacy agreements and NDAs, with a wide variety of life sciences customers.

● Draft and negotiate vendor agreements, including IT, marketing and consulting agreements.

● Draft and negotiate agreements with a variety of partners.

● Respond to inquiries regarding contract interpretation and compliance

● Assist with other company initiatives as required (e.g., M&A, litigation, employment matters).

● Collaborate with the business to deliver results with speed and urgency.

● Build processes to drive efficiency.

● Create and improve form agreements.

● Coordinate with internal and external subject matter experts, including external counsel, when needed.

Requirements:

● 6+ years of legal experience in a contract focused role, preferably with experience being part of an in-house legal department and working remotely with distributed teams.

● J.D. with active status in a U.S. state bar (ideally where the position is located).

● Meaningful experience with SaaS contracts and commercial contracts generally.

● Ability to successfully work independently with little guidance, but also able to use good judgment and escalate issues when needed.

● Ability to navigate a complex startup environment.

● Ability to prioritize and execute based on the information available.

● Ability to cover multiple areas of law and learn new areas quickly.

● Ability to proactively, efficiently and accurately assess and communicate legal business risks in a fast-paced environment.

● Track record of creative problem-solving, excellent written and oral communication skills, and creation of strong and trusted cross-functional relationships.

● Proactive personality and strong eagerness to learn about the business, the industry, and new areas of the law and applicable regulations.

Nice to Have

● Experience with a fast-growing startup environment.

● Experience in the life sciences industry.

● Experience working in-house at a contract research organization (CRO), contract development and manufacturing organization (CDMO), technology company, software company or pharmaceutical company.

● Familiarity with one or more of data protection, information security, employment law, corporate law.
