Opportunity: The General Counsel, as a member of the senior executive team, oversees the legal function on behalf of Ports America and its business entities, in managing all legal matters for the company, including corporate and securities, corporate governance, litigation, risk and dispute management, compliance, contracts, labor and employment, executive compensation and mergers and acquisitions.

Essential Duties:

Strategizes with company executives and management to ensure the company is compliant with federal, state, and local regulations and requirements, while managing and providing advice and counsel on a wide variety of corporate matters.

Advise and direct executives and Boards on corporate governance and regulatory matters, to minimize risk and expense to the entities while meeting business objectives.

· Provides legal advice, guidance, and representation with respect to business, transactional, governance, regulatory, policy, advocacy, and compliance matters. Relevant areas of law including, but not limited to, corporate law, mergers and acquisitions, governance, joint ventures, regulatory matters, employment matters, fraud and abuse, HIPAA, public-private partnerships, real estate matters, intellectual property and risk management issues.

· Perform due diligence and render advice for transactions involving the company, including but not limited to commercial interests, mergers and acquisitions, operational engagements and services, intellectual property rights and obligations, insurance coverage issues, tax planning

· Supporting the company in the management of contracts by reviewing requests for proposals (RFPs), drafting and negotiating contracts and amendments, and ensuring compliance at the local, state and federal levels.

Adviser and counsel to management on union and non-union employment related law issues. Represent the company with respect to asserted claims or legal proceedings.

· Selects and supervises outside counsel to carry out any of the responsibilities of the general counsel. Oversee and serve as liaison with outside counsel in both litigation and non-litigation matters.

· Leadership of Group Legal team to effectively and efficiently manage our legal interests

· Conduct legal research and analysis and draft legal memoranda.

· Participate in specified management, board and client meetings.

Minimum Requirements (Education, Experience, Certifications):

Juris Doctorate (J.D.) from an ABA-accredited law school

Bachelor’s Degree

15+ years of experience working on a wide range of corporate matters and commercial transactions

Experience in Mergers and Acquisitions, Joint Ventures and Public – Private Partnerships

Knowledge, Skills & Abilities:

Effective leadership, influencing and teambuilding skills

Extensive knowledge of federal, state and local law and regulations as it pertains to our industry

Extensive knowledge and understanding of union and non-union labor and employment law environments

Excellent oral and written communication skills; ability to communicate clearly and accurately with clients, colleagues and staff. Exceptional ability to describe complex issues.

Ability to exercise judgment and diplomacy while addressing sensitive or challenging issues.

Ability to think creatively and strategically.

Proven ability to engage with senior operating executives, leveraging strong intellectual, conceptual and analytical skills.

Ability to work well under pressure, handle competing demands and delegate appropriately.

Ability to travel 25%.
