Manhattan Beach, CA (Hybrid Work – In Office and Remote) is preferred.

General Role Overview:

We are currently seeking a Sr. Counsel to join our team and provide leadership on a wide range of corporate, securities, and governance matters. The role would report directly to Fisker’s Vice President, Securities and Governance and Corporate Secretary. The responsibilities will cover the entire spectrum of corporate and securities matters that confront a publicly traded company with global operations, including ensuring compliance with SEC and NYSE rules and regulations; preparing and reviewing SEC filings; assisting with matters related to the board of directors and its committees; and advising on corporate governance, mergers and acquisitions, executive compensation and subsidiary maintenance.

Duties and Responsibilities:

Ensure compliance with federal securities and corporate laws, as well as applicable rules and regulations of the New York Stock Exchange (NYSE)

Prepare and review SEC filings, including periodic and current reports, Section 16 filings, proxy statements, etc., and advise on applicable securities law issues, including but not limited to the company's insider trading policy, trading windows and Regulation FD compliance

Provide support for the board of directors, including preparing and reviewing materials and minutes for the board and its committees

Support environmental, social and governance (ESG) efforts, including compliance with SEC rules

Provide broad-based equity compensation program support and advice on executive compensation matters, stock plan matters, 10b5-1 plans, and insider trading.

Manage the timeline, preparation and execution of the annual stockholder meeting

Manage domestic and international corporate transactions, including joint ventures, mergers and acquisitions, debt/equity financings, and a wide range of business agreements and other special projects; provide advice regarding the company’s joint ventures and investments.

Develop, implement, and maintain various compliance initiatives and corporate governance policies and practices.

Review press releases, earnings releases, investor presentations, and other significant public disclosures

Support global corporate initiatives and subsidiary management, and coordinate the formation of additional corporate entities in support of the business

Prepare corporate documents, such as minutes, consents, resolutions, certificates, charters, and policies

Collaborate with, advise, and support a broad range of departments and functions, including finance, accounting, tax, investor relations, and others as needed

Minimum Qualifications:

J.D. from an accredited law school with strong academic credentials required

At least 8 years of specialized securities/corporate law experience at a major law firm and/or in-house legal department focusing on a broad range of securities and corporate matters, including SEC filings, corporate governance, executive compensation, and equity plan administration.

Direct experience personally drafting Securities Act and Securities Exchange Act filings, including periodic reports, proxy statements, Section 16 reports, and registration statements.

Prior in-house experience at a public company strongly preferred

Experience interacting with and advising senior management and boards of directors

Excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation.

Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment.

Proactive personality, eager to learn new areas of the law, and committed to understanding the industry and the company's business.

Ability to communicate effectively with a non-legal audience is required.

Additional Requirements (if any):

Must be willing to travel both domestically, as well as internationally, as required.

Expected Salary Range: $140,525.00 - $230,800.00 /Annum.

Additional compensation: Salary is one part of total compensation which includes bonuses, equity awards as applicable, and benefits. An employee is eligible to participate in Frisker's equity program, subject to the rules governing such programs.

Coverage is effective on the first day of employment, and Fisker covers most of the premiums for employees.

The salary offered may vary depending on multiple individualized factors including market location, job-related knowledge, education/training, certifications, key skills, experience, internal peer equity as well as business considerations. Fisker reasonably and in good faith expects to pay for the position within the salary range listed, taking into account the wide variety of factors listed above.
