Right now we're looking for a Senior Counsel, Corp Securities & Assistant Secretary to join our growing team. The Senior Counsel, Corporate and Securities & Assistant Secretary is responsible for partnering with the business in achieving its business objectives and providing strategic and timely legal advice to the General Counsel and senior management across multiple lines of business. This position will focus on SEC and other public company reporting matters, corporate governance, stock exchange listing standard compliance, capital market, credit agreement and M&A transactions, and Board committee support. In addition, this position will support business functions directly and work with outside counsel, including drafting and negotiating agreements, coordinating the review of marketing/advertising matters and helping protect the Company’s intellectual property.

What would you do? – The Specifics

  • Works with the General Counsel and senior executive team to ensure compliance with securities laws and governance best practices, including SEC and stock exchange rules and regulations, disclosure controls and procedures and SOX compliance.
  • Works with the General Counsel to advise senior executives on all aspects of internal corporate governance.
  • Assists the General Counsel, Investor Relations, and Corporate Communications with ESG reporting and shareholder/stakeholder engagement.
  • Drafts and/or reviews periodic filings such as 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 filings (Forms 3, 4 and 5), Rule 144 process and filings, and any additional registration statements.
  • Provides advice on disclosure matters, including press releases, earnings materials, investor presentations and reports.
  • Keeps abreast of proposed and existing legislation and regulations, and coordinates compliance with SOX as well as corporate governance rules and listing requirements.
  • Develops, implements, and maintains various corporate governance best practices and policies.
  • Assists with corporate secretarial functions, including preparation and review of Board and Committee materials.
  • Assists in sophisticated banking and financing agreements, and in acquisitions and divestitures of other companies.
  • Drafts, negotiates, and manages a broad range of commercial and business agreements including merchandising, marketing and technology agreements.
  • Coordinates the review of marketing/advertising materials and protects the Company’s trademarks and other intellectual property.
  • Manages and works with outside counsel as appropriate.
  • Direct, manage, develop and evaluate direct reports.
Position Requirements:

  • Juris Doctorate from an accredited law school.
  • 5+ years of legal experience within a law firm or a combination of law firm/in-house. Top law firm training.
  • Prior in-house experience with a large public company is a plus, but not required.
  • Extensive experience with securities laws, corporate governance, Board secretarial matters, corporate transactions and commercial agreements is required.
  • Experience in corporate finance, equity compensation, and executive compensation is preferred. Some exposure to review of marketing, materials and the protection of IP is preferred.
  • Highly compliance-focused, detail-oriented, flexible, creative, with the ability to manage multiple priorities along with a sense of balance.
  • Proven success at developing innovative solutions to complex legal problems and providing legal advice that facilitates direct business solutions.
