You’ll also have to be OK with constantly breaking new ground with new regulations that sometimes come out of nowhere, or “land mines” that require you to quickly assess, make the right decision and minimize any lasting impact. See above re: “save the day.” Some days, when things are messy, you’ll just have to grab a shovel and start digging. But it’s OK because you’ll know your work is contributing to the common good of a secure, connected and effective healthcare system.

Job Summary

The Senior Legal Counsel provides a variety of general corporate, regulatory and commercial legal services to the organization and its in-house clients, and will also provide legal services to support one or more specific business units in the organization, as assigned by the General Counsel. Acts as a senior advisor on complex legal issues that may affect multiple business units. Reviews and advises on issues involving contracts, state and federal law and regulations, as well as the organization’s compliance program. Participates in the ideation phase of new products or product variations. May provide guidance to Associate Counsel level staff. May engage in the development and management of risk strategies. May, when requested by the General Counsel, manage legal matters assigned to outside counsel and preside at meetings regarding legal issues. Demonstrates experience in corporate matters of diverse scope, requiring in-depth evaluation and interpretation. Areas of application could include, but are not limited to: business law, health law, data privacy, license agreements and intellectual property, customer contracts, contracts with vendors to the Company, employment law, risk assessment, and reviewing, drafting and negotiating various agreements.

Responsibilities

  • Manage complex projects assigned regarding the development of products and the development and negotiation of custom contracts on behalf of the Company's business groups assigned to the Senior Counsel.
  • Review, draft and negotiate contracts or other legal documentation with customers, suppliers, and others who desire to contract with the Company, including, but not limited to, agreements for participation in the Company's networks for health information messaging and connectivity, data use agreements, technology licensing agreements, joint research projects, and contracts with vendors supplying services or equipment to the Company.
  • Prepare, maintain and update contract templates for frequent Company transaction types.
  • Responsible for ensuring all relevant facts and legal considerations are assembled, assessed and accurate before contracts are presented for execution as relates to all business transactions.
  • Evaluate and advise appropriate legal courses of action to meet Company and business unit needs.
  • Review and assist with preparation of comments on behalf of the Company regarding proposed rules or regulations.
  • Assist with internal and external federal, state and industry compliance activities.
  • May have corporate responsibility for specialty area of law such as data rights, state and federal privacy laws (including regulations and guidance), HIPAA, fraud and abuse, anti-kickback laws, and related rules of recognized standards.
  • Analyze and advise on Company products/services in conceptual, development phases and/or requiring contracts with respect to compliance with applicable state and federal laws

Qualifications

Basic Requirements:

  • Juris Doctor Degree and member in good standing of at least one bar.
  • Practical knowledge, skills and abilities acquired through a minimum of 5-7 years of experience as a practicing attorney at a law firm or in-house, with any specific experience to be identified in the particular position posting.
  • Four or more years drafting / negotiating business contracts to a successful conclusion with customer interaction included.

Preferred Qualifications:

  • Three or more years healthcare regulatory background.
  • Experience drafting and negotiating contracts related to data rights/license agreements and other intellectual property.
  • Three or more years of experience engaging with those responsible for business development on both sides of contracts/transactions.
  • Specialist knowledge of anti-kickback, fraud and abuse, and privacy and data security matters in healthcare.

Physical and Mental Requirements

While performing duties of this job, employees are regularly required to sit, walk and stand; to talk or hear, both in person as well as through telephone; use hands repetitively to handle, feel or operate standard office equipment. Additionally, this job requires certain mental demands, including the ability to use judgement, withstand moderate amounts of stress and maintain attention to detail.
