This position serves as in-house counsel to support a variety of areas, but especially contract and subcontract review and negotiation, management, coordination and communication with outside counsel, uncommon litigation actions, risk and insurance review, oversight/investigation actions at the organization and employee level, data privacy and data protection. This skilled individual will provide legal support to internal departments by working with the Executive team and internal office management. INDHP123

Negotiate and draft contracts, including service/vendor agreements, donor agreements, sponsorship agreements, cause marketing arrangements, and other miscellaneous agreements.Research and advise on privacy and data protection matters.Research and advise on tax issues, corporate governance, and risk management.Assist and support in insurance claims and investigations.Develop and review checklists, legal content, templates, and forms.Research legal issues and prepare memoranda and correspondence.Advise Senior Staff and other affiliate staff (as necessary) on legal matters relating to general business operations.Ensure legal and ethical compliance with local, state and federal laws.Research and advise on legal matters including corporate governance, contracts, real estate, healthcare, patient privacy laws, human resources, benefits, insurance, risk management, security, and proposed legislation, regulations, and public interest litigation that may affect PPGP patients.Draft, review, and assist in the maintenance of legal documents including contracts, leases, policies and procedures and other documents.Act as liaison with outside counsel on any claims and legal issues. May be required to represent the named affiliates in litigation and other legal proceedings.Develop and implement special projects as requested by the Executive Team.Provide training to affiliate staff as needed.Coordinate with Compliance and HIPAA Privacy and Security Officer(s) as needed and as directed by the Executive Team. Support risk and quality management by helping identify any mitigate risks.Maintain the highest level of professional and ethical standards and to act in compliance with both the letter and spirit of all applicable laws and regulations.

Education: J.D. degree requiredExperience: • 2+ years of experience in private or in-house practice, including experience with contract negotiation.• Experience with a non-profit organization and/or human services organization is a plus.Equipment Familiarity: Certifications, Licenses or Special Training: • License to practice law in Indiana• Must meet and maintain background screening requirements for all Damar Programs as detailed in policy 1.HR.02 Pre-Employment and Employee Background Checks. • Valid Indiana driver’s license and driving record that meets eligibility requirements of Damar’s insurance carrier (for all positions requiring driving). • Successful completion of pre-employment drug screen and physical required.
