Job Description
Senior Tax Counsel should be smart, proactive, and practical. The position requires balancing focused, consistent execution with an ability to take smart risks and drive positive change. Service Delivery
Identify tax risks and opportunities and develop domestic or global tax strategies, including risk assessment and exit options, seek approval for recommended initiatives and strategies and manage implementation of approved initiatives and strategies.
Undertake special projects. Special projects may include, but are not limited to, managing tax aspects of corporate acquisition, divestiture and reorganization planning, and related legal entity structuring; identifying domestic tax risks and opportunities, including impact of business changes or legislative activity, and implement improvement or remediation solutions; and examining legal agreements and contracts for tax implications.
Provide tax advice to business and finance leaders (Treasury, Strategy, Legal, Finance, Supply Chain, HR, , etc.) as well as other Tax Centers of Excellence (“COEs”) on tax aspects of business matters.
Provide tax advice to business, Legal and HR leaders on employment, compensation and related matters across the Corporation. Involve and coordinate stakeholders, including Legal, Global Business Services, Payroll and HR Benefits for information reporting, if necessary.
Recognize potential tax issues in complex business matters and develop creative tax solutions without creating undue risk.
Keep abreast of proposed and enacted legislation, regulations, and court decisions to identify new opportunities, minimize negative impacts or to prepare adequately for their effects.
Ensure appropriate tax analysis, documentation, accounting, and reporting for transactions.
Undertake project management including project implementation checklists and project status timelines.
Manage outside advisors, including the selection of service providers for tax advice on transactional planning projects to assist in implementation of approved strategies within budget allowances.
Review draft tax legislation, tax regulations and other guidance to consider impact on K-C; identify potential amendments to legislation that could benefit K-C and draft documentation to be shared with Government Relations; develop tax planning based on new tax legislation; prepare analyses on comprehensive impact on K-C; and educate corporate, business and functional leaders on tax legislative provisions and impact in their areas of responsibility.
Review draft legal agreements for Tax Department initiated transactions and review legal contracts for tax implications.
Cultivate long-term partnerships with other Tax COEs (Tax Accounting, Tax Reporting & Defense, and International Tax) and assist them with assessing ETR, cash tax impacts, and tax accounting effects of proposed transactions, new legislation or tax return positions, ensuring consistency with historical precedence/tax accounting policies. Assist in defense of implemented transactions, in proper reporting of implemented transactions in tax returns, and ensure proper consideration in decision making at the corporate, division and U.S. subsidiary levels.
Communicate within and across COEs. Communicate fully in a timely, informative, and accurate manner with others who have a need to know. Maintain excellent oral and written communication skills. Provide exceptional customer service throughout K-C.
Identify, document and monitor uncertain tax positions and provide oversight and support for documentation maintenance around significant transactions, including reviewing FIN48 (tax reserve) analysis.
Conduct all activities in an ethical manner. Ensure and maintain safety in the general work environment.
Be a prolific reader of tax periodicals to understand industry trends, new tax strategies, potential tax risks and other current information to optimize K-C’s tax position.
Strategy Alignment and Business Partnerships
Develop strategies, participate in project teams, and manage tax matters to minimize taxes, ensure tax efficient cash management and minimize tax risk.
Align strategies and objectives and maintain relationships with Legal, Treasury, Strategy, Supply Chain, HR, Business, Finance and other K-C leaders, service providers, industry contacts, and all other Tax COEs.
Cultivate long-term partnerships with finance and business personnel for one or more business units.
Develop Talent
Provide mentoring, coaching and developmental opportunities to other tax team members to strengthen their technical and professional skills.

Required Qualifications
JD degree.
LLM in Taxation or Masters of Tax (or equivalent) preferred.
CPA a plus.
Preferred Experience
Minimum 7-10 years of relevant tax experience in a large multinational corporation, law firm, government agency or accounting firm.
Deep knowledge of federal and state income taxes, including the research tax credit; familiarity with international taxation and transfer pricing.
Ability to exercise a high degree of independence in handling a wide variety of tax issues.
Experience leading projects.
Controversy experience preferred.
