Position Summary:

The Senior Associate General Counsel, Director of Transactional Legal Services will report directly to the Chief Legal Officer and will work directly with or supervise lawyers within the HHC Legal Department who work with the member organizations within the Hartford HealthCare system on matters concerning business and physician transactions, including mergers & acquisitions, joint ventures and other affiliations, employment agreements, clinical service agreements, commercial agreements, financing, real estate and other business matters. The Transactional Attorney will work in a collaborative environment in service to the mission of a growing healthcare system.

Key Accountabilities:

Provide legal representation for Hartford HealthCare on transactional and business matters

Supervise, mentor and teach lawyers within the HHC Legal Department on transactional and business matters

Provide legal analysis and advice in the transactional context concerning health care regulatory compliance, physician-hospital relationships, and a wide variety of healthcare business and operational issues, including the provision of and payment for healthcare services, including, but not limited to the Stark Law and the Anti-kickback Statute

Oversee due diligence

Consider the business implications of decisions and develop strategies that continually improve the long term success of HHC

Understand and implement changes in relation to changes in the healthcare industry

Model mission, vision, values and ethics at all times

Provide high quality, timely legal services in a manner that soundly manages risk

Foster positive, fulfilling work relationships and an environment to ensure high performance and satisfaction for physicians and providers which leads to improved quality, outcomes and patient satisfaction

Demonstrate organizational awareness and posses the ability to understand and learn the formal and informal decision making structures of the organization and appropriately escalates and informs the Chief Legal Officer

Serve as a subject matter expert, educational resource, and strategic adviser to HHC business leaders and colleagues on all aspects of healthcare transactions

Qualifications

Juris Doctorate from an ABA accredited law school with a license to practice law in Connecticut or ability to become an active member in one year, and outstanding academic credentials

Twenty plus years of relevant experience with emphasis on transactional and healthcare matters

Proficiency in legal research, including Lexis, Westlaw & other research tools, as well as technology used in operations, such as contract and document management

Experience with Stark Law and Anti-kickback Statue

Experience with relevant business and transactional matters, including mergers and acquisitions, employment agreements, financing agreements and others

Strong analytical, inter-personal, drafting, negotiation, written and verbal communication skills

Excellent organizational skills and high level of attention to detail and accuracy

Previous experience with academic medical centers, physician group practices, and/or health care delivery systems either in-house or at a large or boutique law firm preferred

Collegial, possesses mature interpersonal skills and is able to quickly adapt to changing demands
