Job Description:


Serve as legal counsel for Newmark Knight Frank (NKF)’s Multifamily Capital Markets division and provide legal advice to internal clients on a broad range of legal matters. This position is located in Bethesda, MD.

General Responsibilities:

  • Provide legal guidance related to the production, underwriting, closing, servicing, asset management and special servicing operations for matters (i.e. the purchase of multifamily loans, including negotiation of contracts/commitments for the purchase of loans and the terms of loans documents, securitization of mortgages, loan workouts, etc.)

  • Collaborate with legal teams (i.e. Cantor, NKF, etc.) to ensure consistency of legal advice and negotiating positions

  • Partner with the business units in managing all licensing, compliance, insurance renewals, and regulatory filings for the Company

  • Prepare/negotiate contracts and agreements (e.g. broker and correspondent agreements, originator contracts, master and subservicing agreements, partnering agreements, etc.)

  • Serve as the corporate secretary and ensure corporate governance responsibilities are carried out including, but not limited to maintenance of company records, signature authorities, legal entity filings, etc.

  • Manage outside counsel, including in transactional, corporate, and litigation matters

  • May perform other duties as assigned

Skills, Education and Experience:

  • Typically has a minimum of seven years of legal experience

  • Juris Doctor (JD) degree; membership in good standing in a state Bar

  • Experience in commercial real estate finance with a law firm or corporate law department, including primary responsibility for negotiating and closing transactions (both individual loans and pools of loans);

  • Familiarity with common commercial real estate lender-borrower issues and ability to quickly negotiate resolution of the same

  • Knowledge of the customary legal relationships, legal issues, and closing practices required with purchases of multifamily mortgages by investors and securitization of commercial real estate mortgages

  • Familiarity with master servicing and special servicing issues

  • Experience with structured finance transactions

  • Ability to view the closing of transactions as a process as well as a series of discrete deals and to identify ways to improve that process

  • Agency/secondary mortgage market multifamily loan origination experience

  • Ability to create and maintain strong collaborative relationships with clients

  • Ability to develop and maintain cooperative internal and external relationships

  • Ability to work comfortably and routinely as part of a team and to collaborate across organizational boundaries

  • Ability to organize and prioritize multiple pending matters

  • Experience with Microsoft Word, Outlook and Excel

  • Ability to travel a minimum of 10%
