Brief Description

The Senior Corporate Counsel assumes responsibility for the negotiation, drafting and management of complex business development (BD) and licensing contracts in support of Sanofi’s Global Business Development and Licensing Group. The position reports to a Business Developing and Licensing Lawyer, He/she must have the legal skills, business acumen, and experience necessary to drive successful legal outcomes when the need arises, and the ability and inclination to actively shape policy on related BD and Licensing topics.

Main Responsibilities

  • Leading the negotiating and drafting a broad range of BD, licensing and other transactional (both ‘licensing-in’ and ‘licensing-out’) agreements;
  • Working closely with clients to ensure the timely management of transactional BD and Licensing opportunities and negotiation of relevant contracts;
  • Ensuring his/her clients are kept abreast of relevant legal developments;
  • Liaising with relevant internal teams, providing contractual legal support;
  • Contributing to legal due diligence procedures arising from BD or licensing-related contractual activities;
  • Taking advice from and instructing external counsel, wherever appropriate, and supervising their work;
  • Interfacing with key stakeholders, including: Strategy, BD, R&D, Medical & Regulatory Affairs, Operations, as well as colleagues in Legal – Global Functions, relevant Legal – GBUs and Legal – Corporate.

Key competencies and qualifications

  • Technical legal expertise in complex BD and licensing transactions
  • Excellent negotiation skills
  • Experience with R&D support a plus
  • Highly motivated and performance driven individual striving to excel in fulfilling job responsibilities, delivering quality work and achieving desired results
  • Adaptable, open to new ways of working and finding unique solutions to overcome business challenges
  • Excellent verbal and written communication skills.
  • Keeps informed of new laws, regulations, and industry trends affecting the BD licensing space, and assists with development of firm-wide policies as needed.
  • Ability to manage workload and prioritize among a given number of active files at any one time.
  • Willingly assists colleagues in other functions (Legal, Compliance, Finance, Accounting, etc.) with projects and activities in areas outside of his/her primary areas of responsibility as needed to contribute to a collegial atmosphere.
  • Challenges his/herself in order to deliver even when it is not completely within his/her control
  • Good understanding of the bio-pharmaceutical business
  • Customer-oriented

Qualifications:

  • A minimum of a JD is required.
  • License must be active and in goof standing
  • A minimum of 5 years+ professional experience within the Pharma/Life Sciences industry is required.
  • A minimum of 2 years of Legal experience in the Business Development function is required
  • BD and/or licensing experience is require
  • Experience at a law firm is preferred for this position
  • Position may require between 4-10 business meetings that will require travel on a yearly basis (Domestic and International)
