Job DescriptionAncestry is seeking a corporate transactional attorney with 5-7+ years of experience for the position of Corporate and Technology Licensing Counsel. This person will be based in Ancestry’s San Francisco office, will report to Senior Director – Corporate and Securities. This position will be a true business partner, having a meaningful impact on the organization by supplying sound business advice, excellent negotiation skills, and well-informed advice on corporate transactional and securities matters. Responsibilities will include:General corporate adviceNegotiating technology in-licenses and other commercial contractsNegotiating and drafting equity and debt financing documents, which may include an initial public offering within the next 18-24 monthsNegotiating and drafting joint ventures, acquisitions, divestitures, and other corporate transactionsSupporting board processes, including audit and compensation committeesAssisting with implementing enterprise risk management processesSupporting a complex international corporate structureSupporting corporate governance intiativesQualificationsJD from a top tier law school.Admission to a State Bar. Minimum 5 years of relevant corporate transactional and securities experience.At least 3 years of foundational training with a leading national law firm.Demonstrated ability to work efficiently, to take on big challenges and complex projects and to be accountable for results, while meeting demanding deadlines and balancing multiple tasks in a fast-paced environment.Sound and practical business judgment and the ability to provide business-oriented, practical legal advice.Strong interpersonal and communication skills.Ability to effectively manage and/or oversee outside counsel.
