They handle legal projects relating to all kinds of issues – from copyrights to trade secrets, licensing agreements to the IP aspects of contracts.  What’s more, they advise or coordinate with external counsel on legal issues ranging from regulatory compliance to data privacy and risk mitigation.  Crucially, they prepare and present applications for patents, copyrights and trademarks.  They are our IP guardians. 

General Summary:

The Senior Legal Counsel, IP will provide a full range of patent support functions, including patent preparation and prosecution, patent portfolio development, freedom-to-operate analysis, rendering opinions, managing outside counsel, drafting and negotiating license, development, and research collaboration agreements, and due diligence support for business development and client counseling.

Principal Duties and Responsibilities:

  • Counsels and represents Dell’s patent, IP litigation, IP transactional, and licensing issues
  • Manages claims of IP infringement at the pre-litigation stage
  • Manages all aspects of foreign and domestic patent prosecution
  • Provides a full range of support functions related to open source software, including vetting proposals to use open source software and to contribute to and/or create open source projects; assists in developing and enforcing open source policies for Dell
  • Regularly makes presentations and interacts with the business with regards to patent and contractual matters
  • May also train and/or advise, and produce training materials for use with internal clients and other Dell attorneys, including non-IP attorneys and less experienced IP attorneys

Qualifications:

Required:

  • Bachelor’s or advanced degree in Electrical/Computer Engineering or Computer Science
  • JD from an accredited law school; admission to practice before the USPTO and licensed to practice in at least one state
  • 8+ years of law firm or corporate law department experience is required, and a mix of both types of experience is preferred
  • Demonstrated background in the computer and software arts, including drafting and prosecution of patent applications in the computer and software arts
  • Experience in the rendering of patentability and non-infringement opinions
  • Proficiency in Microsoft Office (Word, Outlook, PowerPoint and Excel)
  • Ability to articulate with and positively engage their clients
  • Ability to give well organized, thoughtful presentations to upper management
  • Keen attention to detail and ability to meet deadlines in a fast-paced environment

Preferred:

  • A mix of law firm and corporate law experience
  • Experience in due diligence activities
  • Experience in license drafting and negotiation
  • Experience in providing legal support for open source software
