The General Counsel (GC) will serve as in-house legal counsel to Elite Dental and its partners and will advise and support its senior management team. The GC will support all legal affairs for Elite Dental, including corporate governance, M&A, compliance programs, operations and risk management. The ideal candidate will have multi-site healthcare experience and either dental experience or the desire to learn the dental business, in addition to expertise as an in-house or outside generalist handling business transactions, contract negotiation and drafting, other commercial matters, and litigation management.

Elite Dental is a high-growth, private equity-owned company. As such, the GC is expected to be a business partner in determining company strategy and achievement of its growth objectives. The GC will also be responsible for helping to achieve operational improvements and enhancing the legal department value for Elite Dental’s managed practices, all in the context of delivering the highest quality dental care to our patients under the highest of ethical standards.

Responsibilities

Manage and oversee the legal function of the organization, including the management of all legal issues and the provision of legal services, counsel and advice to Elite Dental, including management and supervision of in-house legal/risk personnel;

Manage legal affairs associated with Elite Dental’s operations;

Oversight of the compliance department in its review of laws and regulations for potential impact on, and ensure compliance by Elite Dental, including effective communication of the same to all constituents;

Monitor regulatory changes occurring in the states in which Elite Dental partner companies operate, as well as major regulatory changes in other states;

Provide advice on the corporate practice of dentistry state by state;

Participate in the definition and development of corporate policies, procedures and programs;

Manage corporate governance, including board and committee operations, corporate secretary function and oversight of organizational documents, corporate minute books, policies and board guidelines;

Advise directors and officers of corporate legal responsibilities, including relating to fiduciary duties, independence, conflicts of interest, and other sensitive matters;

Assist in negotiating, structuring, drafting and/or reviewing transactional documents including M&A and integration of new practices;

Assist in negotiating, structuring, drafting and/or reviewing commercial contracts relating to Elite Dental and/or its partner’s operations;

Direct Elite Dental’s risk/litigation and legal proceedings/regulatory agency matters;

Manage disputes, regulatory matters, and litigation and ensure management is advised appropriately;

Manage the use of outside counsel;

Support and advise the Human Resources department concerning personnel issues, including:

Development, implementation and monitoring of legal compliance programs applicable to employment;

Hiring and firing of employees;

Review public/private communications and marketing materials of the Company.

Qualifications & Skills

Candidates must have 6-12 years of relevant legal experience focusing ideally on the healthcare industry and a desire to oversee a broad range of responsibilities, including day-to-day operations, compliance, corporate endeavors, and litigation. Candidates should have demonstrated experience in working in a fast-paced environment focused on accelerating the growth of business. Candidates must be a member of the Illinois bar or a member in good standing with the bar of one or more U.S. jurisdictions.

In addition, the successful candidate must possess the following characteristics:

A successful track record of effective leadership and counseling by engaging each team member;

Experience working with senior management and boards of directors, or exhibits the acumen to do so;

Experience working with or for private equity-owned corporations desired;

Substantial expertise in corporate transactions, preferably in the healthcare industry on the provider side;

Ability to collaborate and influence by building partnership through systematic influence;

Significant experience supporting business operations by driving results and working to beat goals;

Confidence to navigate in a highly-regulated environment;

Excellent judgment and the ability to lead change and advocate for new direction;

Ability to work in a fast-paced environment; and

Ability to excel in a “doer” organization and culture.
