About This Role:

As Senior Counsel, Corporate and Commercial Transactions you will collaborate and provide hands-on support to the organization globally on a wide array of corporate matters and commercial transactions, including securities, corporate governance, financings and managing existing commercial partnerships. You also will be an integral part of developing and structuring new partner deals in the U.S. and internationally. You will have the opportunity to research and lead legal issues that are key to the growth of our business as well as develop solutions. Reporting directly to the Chief Legal Officer, you will also work cross-functionally with finance, operations, partnerships, human resources and other key business leaders to drive implementation.

Strategic and Operational Responsibilities:

  • Advise senior management and business clients on commercial partnerships, including review and evaluation of potential partnership opportunities, support of due diligence reviews, negotiation of partnership agreements, and assisting with post-closing integration

  • Advise on corporate finance and securities law matters, including preparing SEC filings such as registration statements, Forms 10-K, 10-Q, and 8-K, and Section 16 reports

  • Collaborate with finance to advise on potential debt and equity financings

  • Work closely with finance and IR in connection with earnings calls, investor conferences and investor outreach

  • Assist with the management of corporate governance administration for the company and its domestic and international subsidiaries, including preparing board materials and corporate resolutions, managing local filings, and administering corporate records

  • Act as a resource on the interpretation of existing or proposed laws and regulations that could impact the company

  • Work in close cooperation with the compliance team to coordinate and streamline efforts across partnerships and jurisdictions

  • Develop and maintain strong relationships across the company by collaborating with cross-functional teams, including finance, tax, stock administration, accounting, people, strategy, and engineering

  • Maintain a current knowledge of legal issues of importance through participation in continuing legal education and membership in appropriate bar and professional associations

Minimum Qualifications

  • 6+ years of legal experience, with a focus on corporate law and commercial transactions. Prefer a combination of law firm and in-house experience

  • J.D. from an accredited university and active membership in at least one state bar
