POSITION SUMMARY:

The Assistant General Counsel, Corporate/Legal Operations advises and supports, at the direction of the Chief Legal Officer, all global corporate functions at Indivior focusing on strategic corporate legal and risk management initiatives, including but not limited to, litigation and government investigations; contract management and administration; information management and cybersecurity; records retention; employee matters; privacy/GDPR compliance; M&A and business development; and corporate communications and investor relations.

We’re looking for a results-oriented lawyer with a strong interest and/or background in legal operations who can spearhead the ongoing innovation of the Indivior Legal and Governance Department. This new role will support the development of the Department’s mission and strategy, timely deliver important operational projects, drive increased efficiencies and operational effectiveness within the Department, deploy best-in-class practices, processes, tools and technology. An ability to effectively partner with other members of the Department and cross-functional teams across global corporate functions (e.g., Information Technology, Finance, Corporate Affairs & Communications, Human Resources) to achieve Indivior’s strategic and corporate objectives is required.

Year one of this role will focus heavily on successfully implementing a new contract management system that is fit for purpose for Indivior’s business. Additional innovation and process improvement projects will follow in line with existing and future business needs.

This role will supervise 1-2 junior corporate attorneys and drive their career and professional development and business partnership.

ESSENTIAL FUNCTIONS:  

The responsibilities of this job include, but are not limited to, the following:

Corporate Legal

  • Working closely with global corporate functions and actively assisting the company in achieving business objectives while maintaining legal and regulatory compliance;
  • Demonstrating strategic value and competence in applying legal skills to daily in-house corporate, business, and other matters;
  • Identifying areas of company risk, developing proposals to mitigate risks, and leading implementation of mitigation strategies;
  • Selecting and managing outside counsel and related budgets;
  • Partnering with the Compliance Department on regulatory and compliance protocols, current and anticipated, at state and federal levels
  • Representing the Legal and Governance Department on various Corporate Committees
  • Reviewing and approving internal and external corporate communications, corporate sponsorships and charitable contributions
  • Performing special assignments and projects as directed by the CLO

    Strategic planning

  • Developing, in partnership with the CLO and Department leadership, the Department’s short- and long-term strategic and operational plans
  • Providing creative thinking to help identify cutting-edge strategies for increasing value and reducing outside legal spend while maintaining excellent legal representation

    Finance, Budget & Metrics Management

  • Managing the Department’s annual forecasting, budgeting and financial operating plan
  • Identifying and implementing improvements to the Department’s financial data integrity, financial reporting capabilities and essential performance indicators and metrics

    Legal Technology Solutions

  • Managing the Department’s technology strategy and portfolio
  • Identifying, evaluating and implementing technology solutions to increase efficiencies and improve operational effectiveness in the Department
  • Staying abreast of legal technology solutions and communicating technology enhancement opportunities to the CLO

    Outside Counsel and Legal Vendor Management

  • Leading the law firm and third-party vendor management programs with the aim of effectively managing spend, maximizing value, and improving spend transparency and predictability
  • Updating and enforcing outside counsel billing guidelines
  • Establishing and managing strategic and preferred law firm provider panels
  • Negotiating rates, rate increases, and creative fee arrangements with law firms and vendors
  • Conducting and running RFP processes

    Communication and Administration

  • Developing the Department’s strategic communications plan
  • Utilizing on-line forums and tools to connect Department members located around the world
  • Collaborating with the Corporate Affairs & Communications Department to communicate within Indivior specific Department strategies and projects (e.g., presentations, town hall meetings, leadership team meetings, global legal summit planning, etc.)

    MINIMUM QUALIFICATIONS:

    • A J.D. from an accredited law school; an undergraduate degree in Business Administration, Finance, or Information Technology is helpful but not required
    • Active bar membership in good standing in at least one state (subsequent admission in VA as corporate counsel is a condition of employment)MMINIMUM
    • 7 years of relevant experience required; 10 years in pharmaceutical or life sciences is preferred
