WHAT ARE WE LOOKING FOR:
The Corporate Counsel’s responsibilities include (i) negotiating and drafting contracts, with particular responsibility for technology purchase agreements and other procurement agreements, but also customer facing agreements, (ii) being point-lawyer for a vendor and channel contract management program, (iii) researching legal issues and (iv) assisting with preparing and implementing policies and procedures. The position reports to the Chief Legal Officer (“CLO”) and works very closely with other members of the legal department, and also with team members in development, products, finance, sales, customer success, sales operations/revenue execution, human resources and marketing. The legal department is a full-service department and department members will be asked to accept projects and responsibilities within the scope of the department’s responsibilities that may not be identified in this brief description.

YOUR DAY TO DAY

    • Contract preparation and negotiation – The position will be a member of the legal team with primary responsibility for negotiating and drafting (i) technology procurement contracts and other technology related contracts, (ii) marketing event and other procurement related contracts, and (iii) customer facing agreements. Customer facing agreements include, among others, non-disclosure agreements, master services agreements (consisting of service orders, commercial terms of service, data processing agreements, etc.), customer renewals and contract amendments. The position will also participate in the periodic review and updating of contract templates.
    • Compliance Programs – The position will work closely with the CLO, the Director of Data Privacy and other functional areas including finance, sales, sales operations and account management to research, draft and assist with implementing policies and procedures that form a part of the company’s overall corporate compliance program, and in particular a vendor diligence and management program and export control program.
    • Intellectual Property - The position will support the patent program including working with outside counsel to keep all patent files and records up to date.
    • Legal expertise – The position needs to maintain appropriate expertise in the areas of law applicable to technology contracts and related fields. Some knowledge of data privacy law, export control laws and regulations and data security technologies is also an advantage.

MUST HAVES FOR THE ROLE

    • A four-year college degree, preferably in a technology or science discipline, and a J.D. degree from an accredited law school, with strong academic performance. Admission to a state bar with eligibility to practice law is also required.
    • The position also requires a minimum of 5 years and preferably more than 8 years of lawyering experience. Preferably the candidate will have both law firm experience and in-house experience, ideally with a technology-oriented business.
    • Commercial law expertise and contract management experience is a significant advantage. The position must have familiarity with the technologies of the internet.
    • The position also requires proficiency in the Microsoft Office Suite of applications including WORD, Excel and PowerPoint, and also Google systems including Gmail and Google Docs. Familiarity with CRM (customer resource management) systems such as SalesForce.com, electronic signature systems (e.g. DocuSign or AdobeSign), and experience using electronic filing and contract database systems is also an advantage.

    • Excellent Communicator. The legal team communicates constantly – by voice, by email, by memo, by written agreements, in meetings. The position must have very good oral and written skills and be able to present their points crisply and professionally in meetings to disparate audiences.
    • Organizational skills. The legal department handles many matters in many different areas at the same time. The position must have particularly good skills at organizing their work, work-space and time.
    • Humor, perspective, maturity and patience. In a hard working environment with many competing demands, the candidate must be able to maintain perspective, balance competing priorities and have patience when other may lose theirs. A good sense of humor is an essential character trait for long-term success and happiness in a legal profession.
