Summary/Objective:

We are seeking an experienced Legal Counsel to join our dynamic team. This role will be instrumental in providing legal advice, guidance, and support across all aspects of our business to ensure compliance with applicable laws and regulations. The ideal candidate will be a problem solver, a strong negotiator, and possess a solid understanding of corporate law and commercial contracts.

Duties and Responsibilities:

  1. Negotiating, reviewing, drafting, and providing advice on all manner of commercial contracts and company documents, including customer and supplier agreements, non-disclosure agreements, government and defense contracts, joint development agreements, licenses, and corporate policies.
  2. Anticipating and identifying legal issues relevant to a large publicly traded corporation, including laws, rules, and regulations pertaining to contracts, tax matters, liability and insurance matters, and marketing.
  3. Supervising, managing, and evaluating outside counsel on complex contracts and business law issues.
  4. Identifying and assessing legal risk and providing advice on products and corporate initiatives.
  5. Supporting other members of the in-house legal team on issues relating to mergers and acquisitions, real estate, litigation, intellectual property, corporate governance, compliance, and privacy and security.
  6. Maintaining a focus on being responsive and a value-add to the company’s business units and support services.
  7. Providing assistance on various legal affairs and undertaking other duties reasonable and consistent with the position.

Working Conditions:

  • Primarily working indoors, office environment.
  • May sit for several hours at a time.
  • Prolonged exposure to computer screens.
  • Repetitive use of hands to operate computers, printers, and copiers.

Qualifications:

  1. Juris Doctor (JD) degree from an accredited law school
  2. Admitted to the Indiana Bar (or eligible for prompt admission).

Essential Functions:

  1. Provide strategic risk management advice to management to minimize potential legal issues.
  2. Oversee the entire lifecycle of contracts from inception through termination, ensuring that contracts are drafted, reviewed, negotiated, and executed in accordance with company policies and legal requirements.
  3. Keep abreast of legislative changes that may affect the company and its affiliates.
  4. Advise and guide Lippert on regulatory matters to ensure all business practices are in compliance with legal standards.

Competencies:

  1. Strong knowledge of corporate law, contracts, and intellectual property rights. Familiarity with the industry sector of the company is an advantage.
  2. Excellent negotiation, communication (both written and verbal), and interpersonal skills.
  3. Ability to work independently, manage large workloads, and keep deadlines.
  4. Strong analytical and problem-solving skills, with meticulous attention to detail.
  5. Demonstrated ability to maintain confidentiality and manage sensitive information.
  6. High level of integrity and professionalism.
  7. Proactive, with a hands-on approach to tackling issues.
  8. Ability to work effectively in a team and to build strong relationships with internal and external stakeholders.

Supervisory Responsibility:

This role does not have any supervisory responsibility upon hiring.

Position Type/Expected Hours of Work:

This is a full-time salary position.

Travel:

Travel will be minimal and primarily local during the business day.
