Deputy General Counsel

Are you ready to make a significant impact utilizing your expertise as a Deputy General Counsel? I & S Group, Inc. (ISG) is seeking a Deputy General Counsel to join our dynamic Architecture + Engineering firm in Minneapolis, MN. You will have the opportunity to showcase your advanced understanding of specialized practice areas and negotiate effectively across various business units.

The Deputy General Counsel plays an integral role within ISGs legal department, acting as a senior legal advisor and a close collaborator with our General Counsel.

This position involves a wide range of legal activities, including but not limited to:

• Providing legal guidance on various matters, including, but not limited to, contracts, litigation, compliance, employment, intellectual property, mergers and acquisitions, collections, insurance, licensing, general corporate and environmental
• Assisting with risk management
• Contract review, drafting, negotiation and management
• Ensuring compliance with laws and regulations
• Participating in the development and implementation of corporate policies

The individual in this role supports the General Counsel in the leadership and direction of the legal department, contributing to strategic decision-making processes and stepping in to lead in the General Counsels absence.

ESSENTIAL DUTIES

• Legal Advice and Guidance:

Provide legal advice and guidance to senior management and other departments on a wide range of legal matters, including corporate governance, compliance, and risk management

• Contract Management:

Draft, review, and negotiate complex contracts and agreements with clients, vendors, and partners to protect the organizations legal and business interests

• Litigation Oversight:

Manage litigation and disputes involving the organization

Coordinate with external counsel, as necessary

• Compliance and Policies:

Develop, implement, and enforce policies and procedures to ensure the organizations compliance with applicable laws, regulations, and ethical standards

• Employment Law:

Advise on employment law matters, including drafting employment agreements, managing employee disputes, and ensuring compliance with labor laws and regulations

• Intellectual Property:

Oversee intellectual property to protect the organizations intellectual property rights (including patents, trademarks, copyrights, trade secrets and licenses)

• Corporate Transactions:

Coordinate the legal aspects of mergers, acquisitions, divestitures, and other corporate transactions

Assist with due diligence, negotiations, and drafting of documents

• Real Estate:

Draft and review leases

QUALIFICATIONS

• Juris Doctor (JD) degree from an ABA accredited law school
• Current law license (in good standing) to practice law in the State of Minnesota
• Three or more years of legal experience as a practicing attorney in contract review, drafting, negotiation and management
• Broad legal background, preferred
• Experience in litigation, preferred
• Ability to handle fast paced environment and manage changing priorities
