Our Client is a PE Backed IPP focused on utility-scale solar, wind, and energy storage projects and is seeking an experienced General Counsel. The role centers on managing project financing agreements and providing comprehensive legal support across various domains including subscriber agreements, construction contracts, real estate agreements, procurement, and human resources.

Key Responsibilities

Legal Services Management: Strategically manage relationships with external counsel to ensure optimal balance between in-house and outsourced legal tasks, delivering quality and cost-efficient services.

Financing Agreements: Collaborate with executive finance teams to manage all legal aspects of financing agreements, ensuring negotiations, drafting, and regulatory compliance are handled adeptly, alongside providing strategic advice on complex financial transactions.

Real Estate: Lead legal efforts in land acquisitions for project development, including negotiating and drafting agreements and overseeing due diligence processes.

Subscriber Agreements: Assist in drafting, negotiating, and ensuring legal compliance of subscriber agreements, aligning with current laws and regulations.

Commercial Contracts: Partner with procurement to negotiate and draft a variety of contracts, mitigating legal risks while promoting healthy business relations.

Entity Formation and Compliance: Supervise the formation of legal structures for projects, ensuring compliance with corporate governance standards and proper documentation.

Risk Management: Update and enforce compliance programs relevant to the renewable energy sector, providing advice on legal risks and devising appropriate management strategies.

Strategic Leadership: Define and implement strategic direction for the legal function, foster legal best practices across the organization, and identify potential needs for additional legal support.

Qualifications

Law degree from an accredited law school; ideally licensed to practice in New York.

At least 15 years of legal experience, preferably in a fast-paced startup or corporate environment with a focus on corporate finance, project finance, and development in the renewable energy sector.

Direct experience in the clean energy sector, particularly with utility-scale projects involving solar, wind, and energy storage.

Strong track record in negotiating, drafting, and managing complex legal and transactional agreements.
