Position Summary

Brown Advisory is currently seeking an experienced, analytical and detail-oriented managing attorney to join the firms Legal team. The position is based at the firms headquarters in Baltimore. This is not a remote position. Candidates must have the ability to lead a team, operate independently in a fast-paced environment and work proactively on a wide range of matters with various teams across the organization, including corporate, finance, institutional, private client, technology, trading, human resources, finance and investment teams.

Essential Functions and Responsibilities

  • Manage a team of in-house lawyers responsible for the provision of legal advice across all areas of the firm, providing oversight, mentorship and fostering professional development.

  • Advise the firm and its leadership on a wide range of legal matters across a complex legal and regulatory environment.

  • Manage relationships with outside counsel, while managing costs and overseeing the effectiveness of external legal services.

  • Develop, implement, and maintain corporate policies and procedures that promote good corporate governance. Develop tools, standards and metrics on legal, regulatory and corporate matters and ensure the legal team is positioned to deliver efficient, pragmatic and actionable legal advice.

  • Draft, review and negotiate various agreements and documents, including acquisition and investment agreements, term sheets, credit agreements and securities offerings and related disclosure and offering documents.

  • Manage litigation matters.

  • Maintain constructive relationships with regulators by managing regulatory examinations, inquiries and reporting.

  • Oversee complex projects.

  • Advise the firm and its leadership on regulatory and industry developments that affect the firm and its clients.

Minimum Qualifications

  • Ten plus years of relevant legal experience

  • JD required

  • Proven track record of successfully managing a legal team

  • Demonstrated success in a law firm or related in-house counsel experience

  • Relevant experience with a major law firm and in-house experience in the investment management industry with a particular focus on registered investment advisers

  • Strong analytical and presentation skills

  • Team player; adept at developing interpersonal relationships

  • Strong level of attention to detail and proven ability to work under pressure with multiple priorities and a sense of urgency

  • Ability to distill complex legal matters into actionable advice

  • Ability to work in the Baltimore office location.
