Responsibilities:

Shareholders and Board Support and Governance:

Coordinate and schedule shareholders’, board, and, committee meetings, ensuring compliance with statutory and regulatory requirements.

Prepare and distribute meeting agendas, materials, and minutes in collaboration with executive leadership.

Legal Advisory:

Provide legal counsel and guidance to senior management and various departments.

Interpret laws, rulings, and regulations affecting the organization and ensure compliance.

Advise on legal implications and potential risks associated with business decisions.

Contracts, Agreements, and Legal Compliance:

Draft, review, negotiate, and finalize contracts, agreements, and legal documents.

Ensure contracts comply with legal requirements and protect the organization's interests.

Stay abreast of changes in corporate laws and regulations, advising the shareholders, board, and executive team on compliance matters.

Assist in the preparation and filing of required corporate documents with relevant authorities.

Corporate Records Management:

Maintain accurate and up-to-date corporate records, including minutes of the directors’ and shareholders’ meetings, resolutions, and other official documents.

Manage the organization's corporate books and records in accordance with legal requirements.

Ensure timely submission of all necessary filings to maintain the organization's good standing.

Corporate Governance:

Develop, review, and update corporate governance policies and procedures.

Oversee corporate governance matters, including shareholders and board meetings, resolutions, and regulatory filings.

Implement best practices in corporate governance and advise on governance-related matters.

Ensure compliance with corporate governance standards and best practices.

Employment Law and HR Support:

Advise on employment law matters, including hiring, termination, discrimination, and employee relations.

Provide legal support to the HR department on employee-related issues

Qualifications:

Juris Doctor (JD) degree from an accredited law school.

Active membership in good standing with the state bar association.

5 years of experience practicing law, with a focus on corporate law.

Previous experience in a general counsel, corporate secretary, or senior legal role preferred.

Strong knowledge of corporate governance, contract law, and regulatory compliance.

Excellent analytical, problem-solving, and decision-making skills.

Exceptional communication and interpersonal skills, with the ability to effectively interact with stakeholders at all levels of the organization.

Strong attention to detail and ability to work with confidential information.
