What You Will Do...


The Commercial Contracts Attorney is responsible for drafting, negotiating, and reviewing legal contracts related to PSPDFKits commercial contracts. This role plays a crucial role in ensuring all contracts adhere to the law while safeguarding the companys interests. Your main internal customer will be the sales team, so your main counterparties will be customers legal and procurement departments. PSPDFKits Legal team is organized within the Operations group, and the position also involves opportunities to improve, streamline, and manage internal business processes, help to execute strategic experiments and new initiatives, and provide assistance and guidance across a wide spectrum of our companys teams and projects.


Negotiating and Drafting Agreements

  • Collaborate with internal stakeholders to negotiate, draft, and review customer and vendor agreements.
  • Ensure contracts are legally sound and align with the companys objectives.
  • Balance risk mitigation with aggressive sales goals in a collaborative, collegial manner.

Process Streamlining

  • Establish scalable contracting processes and templates to enhance efficiency.
  • Help set up systems that streamline the contracting process and lead to faster contract turnaround times.

Advisory Role:

  • Act as an advisor to the General Counsel and leadership team, providing legal guidance on contractual matters so that they have the legal information necessary to make informed decisions and grant approvals for business risks.
  • Advise on customer disputes, contract enforcement, and compliance with our contractual obligations.
  • Contribute to corporate initiatives such as mergers, acquisitions, and partnerships.


About You...


Education and Licensing

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active attorneys license, preferably in North Carolina.

Experience

  • 2+ years of relevant legal experience. Relevant non-legal business experience can also be counted towards this requirement.
  • Exposure to international legal/commercial terms, particularly those relevant to SaaS contracts.
  • Experience with Contract Management Software is a plus.

Skills and Attributes

  • Capable of drafting and negotiating routine contract provisions autonomously and complex contract provisions with minimal oversight.
  • Negotiation Skills: Ability to negotiate and draft agreements that align with the companys objectives.
  • Attention to Detail: Proficiency in documenting complex contractual arrangements with meticulous attention to detail.
  • Collaboration: Strong interpersonal and communication skills to work with internal stakeholders and external experts.
  • Legal Advisory: Ability to provide legal guidance on contractual matters. Must be able to identify risk and evaluate fact patterns to advise on the application of the law (may require some oversight). Ability to identify legal risks and develop strategic and tactical ways to minimize such risks.
  • Process Streamlining: Experience in establishing efficient contracting processes and templates.
  • A persistent desire to learn and improve, both individually and with your teammates.

We are a globally distributed company with a mostly remote engineering team. Some roles work a hybrid schedule in one of our offices in US, UK, France, and Austria. To ensure overlap with most of the team across the US, Europe and Asia, this position must work from the Eastern US time zone and be located in Florida, Massachusetts, North Carolina, Ohio, South Carolina, or Virginia for payroll processing. Preference will be given to candidates within a commuting distance of our Raleigh, North Carolina office.
