Corporate Counsel Summary:

We are seeking a Corporate Counsel attorney to be a part of our growing Legal team. As Corporate Counsel, you will be an integral part of a business-oriented and collaborative Legal team with a clear focus on enabling the companys objectives. The successful candidate will be flexible, independent, detail-oriented, professional and collaborative with a strong desire to be part of a growing company. This role is critical to the overall success of the company with responsibility providing support across the organization on a broad range of legal matters. Key areas include corporate governance, corporate policy and procedure, compliance matters, ESG initiatives, international growth, commercial transaction support, and employment and labor support. We are looking for someone objective-oriented, capable of executing to critical timelines, and open to growing and developing new areas of expertise.

While fully supported by the Legal team, this role requires the ability and willingness to operate independently and take initiative in a fast-paced environment with minimal supervision. Direct experience supporting a broad range of legal matters, particularly in the areas of corporate governance, compliance and commercial transactions, is required to successfully deliver on this role. Excellent judgment, strong verbal and organizational skills, and the ability to prioritize a rapidly changing workload is expected. You must also have strong interpersonal skills and the ability to collaborate with individuals at all levels of the organization in a positive, service-oriented manner.

This role will report directly to the Deputy General Counsel and can either be based out of our corporate headquarters in San Francisco, CA or remote (in the San Francisco Bay Area) for the right candidate.

What You'll Do:

Develop and help drive strong corporate governance and related process for U.S. operating company and global legal entities, including implementing relevant corporate policies and procedures.

Support corporate compliance matters, including implementing and operationalizing key compliance policies in areas of governance, ethics & compliance, and personnel conduct.

Help develop and scale the companys ESG efforts, including evangelizing ESG and driving training and awareness programs.

Advise on and support compliance initiatives relating to a range of general regulatory matters, including anti-bribery and anti-corruption/FCPA, employment and labor regulations, privacy and data management, records retention, and cross-border trade.

Support corporate development initiatives, including related due diligence activities and transaction documentation for M&A and other strategic transactions.

Review, draft, and negotiate commercial agreements, including vendor agreements and non-disclosure agreements, working cross-functionally to ensure contractual terms are compliant with legal and regulatory requirements and company policies.

Assist in managing dispute resolution and litigation, including managing legal holds, investigations, and e-discovery, as well as related risk management.

Collaborate across all functions to deliver sound and actionable legal advice to effectively achieve business objectives while protecting the company's interests.

Identify, manage, and resolve legal issues in a manner consistent with the company's business philosophy and strategy, and in compliance with legal and regulatory requirements.

Research and assess legal and regulatory matters, prepare internal written positions, advise decision makers on the risks, implement options, and recommend courses of action.

Develop and present training to various personnel throughout the organization, help drive awareness of corporate governance, legal compliance, and risk management guidelines.

Other duties and assignments determined by the Deputy General Counsel to support internal stakeholders and continually enhance support function processes for execution of the company's strategies.

Light travel required for team and company meetings.

What You'll Need:

Juris doctorate from an accredited law school; admitted to at least one state bar in the U.S.

Four plus (4+) years of relevant legal experience, including experience at a national law firm and experience working in an in-house legal department (preferably supporting a high-growth SaaS/technology company and/or publicly listed company); proven track record of professional excellence.

Good working knowledge of legal issues related to corporate governance, corporate compliance matters (including global anti-bribery/anti-corruption laws), commercial transactions, employment and labor, data privacy and security, and corporate dispute resolution.

Demonstrated ability to learn on the job and develop in new areas of the law and drive new applications of existing laws to support innovation.

Exceptional interpersonal, verbal and written communication skills with ability to work in a cross-functional and geographically dispersed environment with multiple stakeholders and teams.

Highly organized, great attention to detail, ability to work independently and adept at managing and completing several simultaneous projects in a team-oriented environment.

Strong work ethic with customer-first approach, balancing a sense of urgency with thoughtful execution.

Strategic thinker with ability to work independently through issues, evaluate risks and choices and make sound judgment even in face of uncertainty.

Ability to devise business-friendly, pragmatic solutions that reduce risk and enhance value.

Driven self-starter with a strong ownership mentality, constantly driving work to completion, persistently and creatively identifying and resolving issues.

High degree of integrity, ethics and trust; highly professional with ability to maintain confidences.

Proficient with technology, including Microsoft Office 365 (Word, PowerPoint, Excel, Outlook, Teams); experience working with board portals and legal matters management tools a plus.
