Kodiak Solutions General Counsel Job Profile

The Opportunity:

Reporting to the Chief Executive Officer, the General Counsel (GC) will be responsible for leading the development and execution of Kodiak Solutions overall legal and regulatory strategy. The GC will work closely with Kodiak leadership, individuals at the corporate headquarters and in the field, and Kodiaks investors on legal and compliance implications of business strategy, new and ongoing joint venture partnerships, and geographic

expansion. They will play a key, value additive role in helping Kodiak achieve its long-range goals and objectives. The GC will be a service-oriented leader who is wholly aligned with Kodiaks mission to simplify complex business problems. They will add a credible and

trusted legal perspective to an executive leadership team that has a strong track record in the healthcare, technology and tech-enabled services space. The GC will serve as a true legal generalist, with responsibility ranging from corporate and commercial matters to

regulatory and litigation and will take a keenly commercial approach to managing such items.

  • Develop legal strategies and provide counsel to Kodiaks leadership and investors regarding the legal implications of business activities and initiatives.
  • Exercise hands-on management responsibility over all of Kodiaks legal affairs. Assess the ongoing and future legal needs of the rapidly scaling organization, using judgment to determine where and how to build out the team internally vs. rely on external

resources.

  • Establish and maintain working relationships across all levels of the organization to be a go-to trusted advisor on all legal matters.
  • Oversee corporate and commercial negotiations from the legal standpoint on behalf of Kodiak, including leading on customer MSAs, SaaS agreements, and SOWs.
  • Evaluate potential M&A opportunities, leading the due diligence process and ensuring it is a acquisition that makes sense and is accretive to Kodiak Solutions.
  • Keep up to date on practices, standards, and trends affecting the company and healthcare delivery organizations broadly, and counsel on relevant legislative matters at the federal, state, and local level.
  • Advise the company on litigation risks of possible business decisions; provide proactive and preventive legal counseling and manage pending litigation.
  • Manage corporate governance matters.
  • Support the compliance team in ensuring that that the company is in compliance with all laws, regulations, and rules that apply to its activities, including expanding into new states.
  • Participate as appropriate in the resolution of labor and employment issues and issues of environmental/health/safety as they arise.

Executive Profile

The successful candidate will be a highly accomplished attorney and leader with a passion for entrepreneurial environments and a proven track record of leading a company through growth and/or transformation. They will have high intellectual horsepower, gravitas, and credibility, coupled with a pragmatic, energetic, and roll up your sleeves approach to

work. They must demonstrate a high degree of savvy and strategic thinking capabilities, with high EQ and strong situational and stakeholder awareness to navigate complex partnership dynamics and successfully influence. This leader will also be mission-driven and passionate about healthcare delivery and patient experience and outcomes.

Skills and Experiences:

  • 15+ years as a practicing lawyer, preferably with foundational corporate experience with a top tier law firm. Prior experience as a General Counsel is preferred.
  • Substantial experience working in or on behalf of a business in the healthcare services space, with multistate operations and a distributed workforce. Strong grasp of key drivers of the business and healthcare industry.
  • Experience working in a private equity-backed and/or high-growth environment will be an advantage; a growth-oriented mindset with a high degree of commercial savvy is a must.
  • Experience negotiating complex agreements and transactions, including experience negotiating partnerships, mergers & acquisitions, and divestitures as well as joint ventures and strategic alliances, ideally involving health systems / physician practice groups.
  • Experience with general regulatory and corporate matters related to healthcare operations (e.g., HIPAA, Medicare, etc.).
  • Experience with general commercial litigation, employment law, and EHS matters will be a plus.
  • Ability to be highly effective with a lean internal team, as an extraordinarily hands- on leader and leveraging available inside and outside resources in a savvy, cost- effective manner. Uncompromising work ethic.

  • Excellent legal and business acumen; ability to think like a business person, to integrate legal and business issues, and to partner with business leaders.
  • Effective at building trusted relationships with physician and medical provider constituents.
  • High level of integrity, executive maturity, and self-awareness.
  • Bar Admission in good standing from all currently practicing jurisdictions.
