HCVT is seeking a highly skilled and motivated Associate General Counsel to join our legal team. Reporting directly to the General Counsel / Partner, the Associate General Counsel will play a crucial role in providing legal guidance and support across various areas of our business operations.

An Associate General Counsel in our firm will be responsible for, but not limited to, the following:

    • Provide timely and strategic legal advice to senior management and colleagues on a wide range of legal matters, including, but not limited to, contracts, privacy, regulatory compliance, licensing, insurance, risk management, client-related matters, ethics, and employment matters.
    • Review, draft, and negotiate various contracts and agreements, including, but not limited to, client engagement agreements, vendor contracts, nondisclosure/confidentiality agreements, data processing addenda, leases, and conflict waivers.
    • Monitor regulatory developments and changes relevant to the firms operations, assess their impact, and develop and implement compliance strategies and policies to mitigate legal risks.
    • Handle subpoenas for documents and/or deposition or trial testimony.
    • Develop and deliver training programs and materials to educate colleagues on legal issues, compliance requirements, and best practices designed to promote a culture of risk management, legal awareness, and accountability within the firm.
    • Collaborate with senior management to develop and update firm policies and procedures to ensure alignment with legal and regulatory requirements and promote ethical conduct and integrity.
    • Conduct legal risk assessments, provide recommendations to senior management on potential risks and opportunities, and offer proactive solutions to mitigate legal exposure and to enhance business efficiency and effectiveness.
    • Navigate legal disputes and litigation matters, including coordinating with external counsel.

To be successful in this role, these are the credentials and skills you will need:

    • Juris Doctor (JD) degree from an accredited law school
    • Admission to the California State Bar and in good standing
    • Minimum of 3-6 years of experience practicing law at a mid-sized to large law firm and/or in-house
    • Excellent analytical, problem-solving, legal research, and decision-making skills
    • Exceptional written and verbal communication and interpersonal skills, with a careful attention to detail and the ability to effectively collaborate with and influence stakeholders at all levels of the firm
    • Proven ability to manage multiple projects simultaneously, prioritize tasks, and meet deadlines in a fast-paced environment
    • High level of integrity and professionalism
    • A respect for, and understanding of, the importance of confidentiality

Preferred Qualifications:

    • Experience as a transactional attorney, either in-house or at a law firm.
    • Knowledge of CCPA, GDPR, and related data security regulations.
    • Experience representing professional services firms, including familiarity with partnership agreements, engagement agreements, non-disclosure/confidentiality agreements, risk management issues, public accounting regulatory issues, and/or employment law.
    • Experience handling subpoenas for documents and/or deposition or trial testimony.
    • Experience reviewing and negotiating real estate leases.

The anticipated salary range for this role is $200,000 to $275,000.This salary range is specific to the state(s) listed and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill set and education; experience and training; licensure and certifications; and other business and organizational needs.
