POSITION DESCRIPTION

The General Counsel will be responsible for negotiating, drafting, and executing agreements and contracts on behalf of the company.

ESSENTIAL DUTIES AND TASKS

Offer counsel on a variety of legal issues and corporate governance.

Oversee, negotiate M&A transactions.

Advise on contract status, legal risks, and the legal liabilities associated with different transactions.

Research and anticipate unique legal issues that could impact the Company.

Provide training to the Company on legal topics.

Formulate and specify internal governance policies.

Coordinate with external parties on behalf of the Company to ensure the Company’s best interests are being served.

Draft and review agreements, contracts, and other legal documents to protect the Company, prevent disputes and avoid loopholes.

Supervise administrative claims and litigation involving the Company.

Prepare and review employment/labor-related policies and procedures.

Participate in investigations and reports on findings.

Provide leadership and direction to ensure strong partnerships with the business.

Any other legal matters that may arise in business.

Work closely with Corporate Development, Strategy, Business Development, Program Management, Engineering & Technology, Finance, Global Supply Chain, Operations and Legal to evaluate opportunities, prepare review materials, and gain senior executive level approvals to proceed with transaction(s)

Participate in executive level meetings on new M&A targets and business ventures by presenting Business Ventures opportunities for review and approval.

EDUCATION AND/OR EXPERIENCE

Must have a law degree from an accredited university.

Minimum of (5) years’ experience working at a law firm or in-house.

CERTIFICATES, LICENSES, REGISTRATIONS

Member of the State Bar of Texas.

Strong negotiation skills with both legal and financial/commercial issues.

Advise and partner with senior executives and have a demonstrated ability to earn their confidence and serve as a trusted advisor.

Ability to distill complex issues into key points, and adjust tone, level of detail and messaging depending on audience.

Know how to build and cultivate collaborative relationships with, and facilitate interactions within, large and diverse cross-functional teams.

Display a commitment to developing and training colleagues and setting clear standards and expectations for high quality, written and oral communication by team.

PHYSICAL DEMANDS

While performing the duties of this job, the employee may be required to sit or stand for extended periods of time. The employee may be required to bend, twist, reach, push, pull and operate office machinery and motor vehicles. Must be able to lift to (50) pounds. WORKING CONDITIONS

Most of the work will be performed in a climate-controlled environment, but the employee may be exposed to outdoor conditions such as inclement weather and varying degrees of temperature.

WORK SCHEDULE/HOURS

Main hours are Monday – Friday 8am – 5pm.

Schedules will vary depending on business needs, and may entail working nights, weekends and holidays. Must be flexible to work outside of normal departmental operating hours.
