Deputy General Counsel

We are seeking a highly skilled Deputy General Counsel to join our legal team and provide strategic guidance and support in the dynamic landscape of the telecommunications industry. As Deputy General Counsel, you will play a pivotal role in navigating legal complexities, ensuring regulatory compliance, and mitigating risks. You must be a collaborative problem-solver and a team player.

What you’ll be doing

Provide expert legal guidance and strategic advice to the executive leadership team, and various business units on a broad range of legal matters, including contract law, regulatory compliance, litigation, and commercial transactions.

Negotiate and draft complex commercial agreements including venue leases/licenses, master agreements, carrier site licenses, construction services agreements, fiber leases/IRUs, vendor and supplier contracts and all ancillary documents.

Support Boldyn’s existing and new partnerships with public/government entities.

Reviews and interprets statutes, regulations, proposed legislation, judicial decisions, and legal opinions that may impact the company.

Assist the Chief Legal Officer in ensuring that Boldyn conducts its business operations in compliance with applicable laws, regulations, and policies.

Supports Boldyn subsidiaries in managing regulatory compliance issues, as requested,

Provide effective outside counsel management.

Prepare executive summaries, risk analysis and provide advice to senior executives and other personnel regarding negotiations and contracts.

Stay abreast of relevant laws, regulations, and industry trends impacting the company's operations, and provide proactive guidance and support to ensure compliance with federal, state, and local laws and regulations.

Manage litigation matters, including disputes, claims, and regulatory investigations, and develop strategies to mitigate legal risks and achieve favorable outcomes.

Identify legal and regulatory risks facing the company and develop strategies to mitigate such risks, including the implementation of effective compliance programs and risk management initiatives.

Build and maintain positive relationships with key internal and external stakeholders, including senior executives, government agencies, and legal partners.

Manage and mentor Senior Counsel and Counsel (approximately 2-3 direct reports)

Travel as necessary (approximately 10%)

Perform other duties as assigned.

What you’ll bring

Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the Bar.

Minimum 15 years of experience practicing law in the telecommunications or real estate industries.

Proven track record of providing strategic legal counsel to senior executives and cross-functional teams.

Strong understanding of telecommunications regulations, including FCC regulations (NEPA/SHPO, etc.), and experience navigating regulatory environments.

Excellent negotiation, drafting, and communication skills, with the ability to effectively collaborate with internal and external stakeholders.

Demonstrated ability to manage complex legal matters and effectively prioritize tasks in a fast-paced environment.

A proactive, collaborative approach to problem-solving and a strong drive to take on new challenges.
