The General Counsel is a senior leadership position responsible for providing strategic legal guidance, overseeing global legal matters, and managing all legal affairs to support the organization's business objectives. Reporting directly to the Chief Transformation Officer, the General Counsel plays a key role in mitigating risk, ensuring compliance, and fostering a culture of integrity and legal excellence across the organization. The General Counsel's responsibilities encompass all legal matters affecting the organization's global operations, including compliance, risk management, corporate governance, litigation, contracts, and transactions. This role requires collaboration with internal and external stakeholders across various functions and regions.

Responsibilities

Understand and incorporate the FDH vision, goals and objectives.

Oversee multi-ational legal support on compliance, operational efficiency, risk management, and corporate governance matters.

Manage 3rd party legal advisors and the related budget.

Strategically advise on legal matters and ensure compliance with industry regulations.

Provide legal oversight and support for mergers, acquisitions, divestitures, and other corporate transactions.

Manage litigation and disputes.

Support negotiation of supplier and customer contracts; manage all property leases; establish consistency across all FDH contracts

Oversee multi-national legal support on compliance, risk management, and corporate governance matters

Manage 3rd party legal advisors and the related budget

Strategically advise on legal matters and ensure compliance with industry regulations

Ensure compliance with corporate governance requirements and best practices

Provide legal oversight and support for mergers, acquisitions, divestitures, and other corporate transactions

Manage legal disputes and litigation involving the company, including commercial disputes, employee matters, and regulatory enforcement actions

Develop and implement company policies and procedures to address legal and regulatory requirements, as well as ethical standards

Support negotiation of supplier and customer contracts and negation of property leases; establish consistency across all FDH contracts

Regularly report progress and outcomes to senior leadership

Qualifications

Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the relevant bar association.

Minimum of 5 years of experience practicing law, with a focus on corporate and commercial matters, preferably in the aerospace or related industry.

An understanding of relevant laws and regulations including export controls, ITAR, FCPA, aviation regulations, and government procurement laws.

Ability to identify, assess, and mitigate legal and regulatory risks.

Capacity to align legal strategies with the company's overall business objectives and to anticipate legal implications of strategic decisions.

Aptitude for analyzing complex legal issues, devising creative solutions, and making informed decisions under pressure.

Excellent oral and written communication skills to effectively convey legal advice, negotiate agreements, advocate positions, and communicate with stakeholders at all levels of the organization.

Unwavering commitment to ethical conduct, integrity, and compliance with legal and regulatory requirements.

Skill in building strong relationships with internal and external stakeholders.
