The Role

Reporting to the SVP, Operations, the Senior Counsel/Contracts Manager will be working cross functionally with business stakeholders to draft, review, and process both inbound and outbound marketing contracts within the Companys digital marketing businesses, as well as the ability to work with the Companys multi-faceted business units. We are looking for a candidate with strong experience in the marketing and media space, who has deep expertise in structuring, drafting, and negotiating marketing agreements, and can navigate a fast paced environment. The anticipated annual salary for this role will range from $100,000 - $175,000, based on consideration of a wide array of factors unique to each candidate, including but not limited to skill set, years and depth of experience, education and certifications, competitive benchmarks, scope of responsibility, market dynamics, geographic location, and respective states salary threshold for exempt employees. The total compensation package for this role will include benefits (listed above).

*This position may be performed remotely in most states within the US, with some exclusions

You Will Be:

    • Structuring, drafting, reviewing and negotiating all manner of commercial agreements, including customer and marketing agreements
    • Structure, negotiate and execute strategic transactions, strategic partnerships, joint ventures and global licensing initiatives
    • Provide overall legal strategy and structuring, drafting, reviewing and negotiating all vendor services agreements, data privacy agreements, agency services contracts (MSA SOW) including customer and marketing agreements
    • Developing, maintaining and ensuring compliance with the Companys policies, procedures and standards
    • Develop a strong rapport and working relationship with business counterparts across the enterprise to help drive the delivery of effective legal services
    • Working with the members of the leadership team on process and contracting improvements to help create greater consistency and process within the organization, including appropriate contract standardization and contract process improvement
    • On occasion you will be required to respond to claims and manage litigation and employment law matters with outside counsel

You Must Have:

    • 5-8+ years of relevant experience negotiating marketing contracts
    • Bachelor's degree in Law, Business Administration, or related field. JD preferred.
    • Experience working within a digital marketing and/or traditional media agency setting strongly preferred
    • Adaptability, flexibility and ability to establish creative approaches to problem-solving is crucial to success
    • Experience counseling and advising business unit leaders and department heads and members of their teams on marketing contracts
    • Strong ability in efficiently handling a large number of contracts concurrently
    • Sound and practical business judgment by being able to swiftly discerning urgent needs from lower-priority ones and taking prompt action as needed
    • Sales and media contract law experience, specifically in the following areas: (Agency Service Agreements, Influencer Talent Agreements, FTC Compliance Analysis, Campaign Legal Review, Media Clearance)
    • Adaptability, flexibility and establishing creative approaches to problem-solving is crucial to success
    • Expert working knowledge of privacy, data security, custom content, native advertising and social media
    • Ability to work autonomously and independently, while being able to contribute successfully to cross-functional teams
    • High personal standards of excellence and ethics, as well as the ability to act with discretion, strict confidentiality and sensitivity towards issues and individuals
    • Strong knowledge of key legal concepts and levers in negotiations
