Job Description - Associate Counsel:

We are looking to add an attorney to our dynamic team of in-house attorneys and paralegals. Candidates must be detail-oriented and well-organized and capable of coordinating litigation with outside counsel. Candidates should have commercial litigation experience, and in particular should be competent in overseeing disputes involving real estate, securities, and bankruptcy issues. In addition to coordinating litigation, the successful candidate will also support equity transactions, regulatory filings, and loan closings. The successful candidate will provide assistance in the following:

Responsibilities:

  • Quickly getting up to speed on Reef Capital Partners' business and industry
  • Coordinate litigation with outside counsel
  • Assist in drafting or editing transactional documents and general corporate documents documents including:
    • LLC operating agreements
    • Subscription agreements
    • Buyout/contribution agreements
    • Private placement memorandums
    • SEC filings / state blue sky filings
  • Searching and producing documentation and communications responsive to subpoenas or other demands for document production, as necessary
  • File organization and document management and retention
  • Assisting with real estate transactions
  • Helping to create and manage systems and controls related to document production, record keeping, and regulatory compliance
  • Working collaboratively and cooperatively with other staff to accomplish strategic objectives, including project management teams, accountants, other attorneys and onsite managers
  • Effectively managing changing priorities and expectations from multiple stakeholders/internal clients
  • Being candid about limitations and non-work situations that may affect performance

Qualifications:

  • A law degree from an accredited law school and 3+ years of practice
  • Experience in commercial litigation
  • Excellent communication and organization abilities.
  • Strong research and writing skills.
  • Creativity, communication, and problem-solving skills
  • Experience or strong interest in real estate is a plus
  • Proven ability to take initiative and work independently while remaining an effective team player
  • Ability to maintain perspective and keep sight of the larger goal while accurately and thoroughly handling details and smaller tasks
  • History of working efficiently and effectively while multi-tasking, meeting deadlines, following projects through to completion, and maintaining high quality
