Job Description

We are seeking a Senior Corporate Counsel, M&A and Integrations, to support our highly acquisitive Corporate Development team on M&A transactions, oversee Legal Dept integrations and oversee corporate matters generally. The Senior Corporate Counsel, M&A and Integrations, acts as Legal Dept lead supporting a high volume of global acquisition transactions for the Corporate Development team on aggressive timelines and oversees Legal Dept integration for each acquisition. Additionally, the Senior Corporate Counsel, M&A and Integrations manages general corporate matters, with the support of insightsoftware’s paralegal.

M&A Responsibilities

  • Supporting the Corporate Development team on multiple acquisition transactions on aggressive timelines, from initial LOI discussions through diligence and close, in coordination with (and with the support of) external M&A counsel.
  • Making recommendations and providing guidance to the business on key issues in diligence and during purchase agreement negotiations, with the support of external M&A counsel.
  • Enabling consistency in documentation and approach to risk in acquisition transactions.
  • Developing Legal Dept synergy analyses and integration budgets for acquisitions, in coordination with the Legal M&A Integrations and Operations Manager.
  • Overseeing Legal due diligence, with the support of external M&A counsel and Legal team leadership.
  • Manage transaction signings and closings, with the support of insightsoftware’s paralegal.
  • Managing post-closing actions (indemnification claims, earn-outs, post-closing adjustments, etc.).

Legal Integration Responsibilities

  • Oversee execution and continuous improvement of Legal integration with stakeholders from the Legal team and other departments, solving for the unique business objectives, challenges, and complexities of each acquired business.
  • Ensure monitoring, tracking and reporting of Legal integrations progress to regularly produce consistent and clear status reports, with the support of the Legal M&A Integrations and Operations Manager.
  • Manage the legal aspects of legal entity rationalization in an efficient and cost-effective manner with the support of insightsoftware’s paralegal and outside counsel.

Corporate Matters and Other Responsibilities

  • With the support of insightsoftware’s paralegal, oversee corporate matters and corporate governance.
  • With the support of insightsoftware’s paralegal and the Legal M&A Integrations and Operations Manager, manage insightsoftware’s insurance program.

Qualifications

  • J.D. degree from ABA-approved law school with strong academic credentials. Admission to one state bar in good standing.
  • 7+ years of legal experience in-house supporting M&A transactions from LOI to close and playing a key role in legal integrations, preferably at a high-growth software company.
  • Strong understanding of M&A structures, agreements and business and legal issues in M&A transactions.
  • Strong understanding of software industry legal department integrations.
  • 7+ years experience managing corporate governance.
  • Ability to work autonomously, multi-task, and perform effectively in a fast-paced environment.
  • Strong team player who is able to work well in a group and with virtual, global, and cross-functional teams.
  • Ability to condense complex ideas and communicate in a clear and concise fashion to a variety of audiences.
  • Experience effectively managing outside counsel and spend.
  • Excellent organization skills and detail-oriented.
  • Highly responsive.
