Senior Legal Counsel - Commercial Contracts Attorney
About the Position:
We have been exclusively engaged by our client, a dynamic global professional services firm headquartered in Chicago, in its search for an attorney with 5+ years of significant commercial contracts experience to join as a Senior Legal Counsel. This position will report to the Co-Chairman and Co-Founder of the company and will take the lead on a wide range of sophisticated legal matters, including commercial contracts, as well as strategic business initiatives, risk management, corporate maintenance, compliance, human resources, and employee benefits.

Responsibilities:
· Draft, review, and negotiate a variety of complex contracts to ensure legal and contractual compliance
· Evaluate contractual requirements and obligations and provide analysis/interpretation to business unit leaders
· Assist in coordination of all aspects of corporate maintenance, including insurance renewals, global corporate filings, 401k, and ESOP
· Advise internal clients on legal and contractual rights, obligations, and interpretation of terms
· Conduct legal risk assessments related to business continuity
· Coordinate with stakeholders to ensure the company’s desired business specifications are carried out
· Develop internal policies and procedures for contract management and corporate operations
· Prepare and respond to legal documents such as lawsuits, appeals, and contracts
Required Qualifications:
· 5 or more years of corporate experience in a law firm or with an in-house legal group
· Substantial commercial contracts experience (including engagement letters, business agreements, vendor contracts, employment contracts and non-disclosure agreements)
· Professional services experience is a plus
