General Counsel Job Description

The General Counsel (GC) provides legal, regulatory, and compliance leadership and serves as a member of the Senior Management Team, functioning as a business partner and trusted advisor to the CEO, senior management and the Board of Directors on a wide range of strategic, tactical and operational issues. The GC oversees all US and International legal operations of the organization and reports directly to the CEO. The GC is directly involved in business transactions and in negotiating contracts and ensures that the company is operated and managed in accordance with all applicable laws and regulations. The GC has strong critical thinking skills and a proven track record of experience in supporting high growth software companies with general corporate matters, privacy compliance, commercial agreements, IP protection, risk management and business policy issues. Day-to-Day Responsibilities:
Responsibilities include but are not limited to:

  • Act as senior advisor to the senior executives. Support the management team by providing legal and regulatory counsel in driving strategies and initiatives that achieve company objectives.
  • Set the overall philosophy and strategy of CData with respect to legal and privacy matters, ensuring that practices, policies, and decisions are consistent with those values.
  • Establish and maintain contractual relationships with the Company’s global network of ISV partners, distributors, and resellers.
  • Manage the Company’s litigation and conflict resolution activities.
  • Represent CData on contract creation, contract review and contract negotiations.
  • Draft, review and negotiate agreements, including ISV, Enterprise agreements, customer software subscription and licensing agreements, technology partnership agreements, employment agreements, consulting agreements, vendor contracts, leases, non-disclosure agreements and various other contracts in connection with the company’s activities.
  • Negotiate legal and business terms on strategic contracts with clients, vendors or other stakeholders
  • Evaluate and monitor international employment laws and worker classification issues through research and/or consultation with outside counsel to ensure compliance with local country laws
  • Legal review of marketing materials, website content and new product features
  • Compliance with security and data privacy requirements
  • Protection of IP rights. Oversee copyright and trademark registration process
  • Maintain a thorough understanding of the business, its strategies and external regulatory marketplace. Maximize company opportunities and minimize risk and exposure by identifying legal trends and variances and communicating implications of the company’s activities.
  • Provide direction for foreign business activities and ensure efforts are supported through training, counsel and outside counsel
  • Oversight responsibility for the corporate records of the Company
  • Act as the corporate secretary and provide all governance functions
  • Develop processes and controls to facilitate efficient contract review and execution
  • Anticipate and identify legal issues and develop legal strategies and solutions as appropriate
  • Analyze a broad range of laws and regulations affecting the Company
  • Manage relationships with and usage of the company’s outside counsel

Qualifications:

  • JD degree and licensed to practice law in NC
  • Minimum of 10 years of professional experience with a track record of success in top-tier law firms, companies, or private firms.
  • Broad legal training and experience that includes: mergers and acquisitions, litigation, tax, employment, contract law, compliance, regulatory, antitrust, and Software-as-a-Service.
  • Deep expertise in commercial and contract law with the proven ability to negotiate contractual provisions, make modifications, etc. specifically with software, IP and SaaS offerings.
  • Experience working in a geographically dispersed organization.
  • Ability to work in a demanding, fast-paced and high-growth environment.

Travel Required:
Limited, on an as needed basis.
