Primary Duties:

Responsible for LCA issues covering offices/facilities located in the United States, Canada, Brazil and Mexico

Proactively engage with business leaders and functions to identify and manage risks, provide timely solutions and strategy to foster growth and protect company assets; and

Proactively promote, monitor and enforce a strong compliance culture with ethical business practices, company policies and local and global legal/regulatory requirements, including training, audits, investigations, disciplinary reviews and related matters to foster internal controls and protect the organization. Roles & Responsibilities:

Work closely with HQ LCA to implement and follow-through on all aspects of appropriate Americas business planning and expansion documentation

Proactively engage in the business and stakeholders to provide practical advice, resolve issues that arise in commercial relationships, manage legal inquiries and IP issues

Manage corporate governance matters related to all entities located in the Americas

Identify potential areas of legal and compliance risks and/or vulnerabilities for the Company and develop and implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future.

Negotiate and draft various transactional and related documentations

Lead and oversee entity formation and ongoing corporate governance of related entities and investments

Recommend and supervise external counsel and manage expenses

Liaise with government officials, departments or tribunals, and communicate with external legal counsels who have been retained to provide legal opinions or handle claims and litigation.

Work within and actively promote the Company’s core mission, corporate strategies, policies, procedures and Code of Conduct.

Education:

Graduate legal degree (JD). MBA and overseas education are a plus

Required Skills and Experience

Licensed attorney in the State of Michigan with at least 8 years relevant experience (e.g., disputes, transactions, compliance and risk assessment).

Fluent in English. Working knowledge of other languages where the Company operates in the Americas is a plus.

Ability to work independently and handle multiple projects efficiently in fast-paced and complex environments.

Critical analysis and organizational skills to organize relevant/irrelevant facts and identify key issues.

Deep understanding of the risk management/risk assessment process.

Integrity and strong character, displaying personal integrity and commitment to an environment where ethical standards are taken seriously.

Strong people skills and emotional intelligence – Must have a sincere understanding of people; be able to give guidance in ethical decisions; Confidence to speak-up and in public presentations.
