General Counsel

Patagon Search (www.PatagonSearch.com) has been retained by the Family Office of a UNHW family seeking a General Counsel for their Miami office. This is a 2/3 hybrid role (2 days in, 3 days out). Our client offers a highly competitive salary, bonus, and tremendous benefits. This is a good work-life balance role. Most of their employees have been with the organization for very long tenures.

This role is for a Corporate Attorney with a strong M&A background. Strong corporate transactional and governance experience is required. This includes formations, securities offerings, experience with credit and restructurings, and venture capital and private equity. Candidates should also preferably have strong investment management advisory experience from a legal perspective. Fund formation experience is also a plus.

Responsibilities include:

Governance

· Support family office advisory firm and board of directors of all entities managed and administered by family office by offering legal advice on corporate governance matters, corporate secretarial duties, and regulatory reporting.

Investments

Review investment documentation (fund or direct investments) and work with outside counsel on tax and structuring considerations.

Advise on the formation of holding companies in various jurisdictions and related compliance requirements.

Review corporate actions related to portfolio investments and steer corporate actions to resolution.

Review, draft, and negotiate various agreements, including fund documentation, client contracts, subscription agreements, and vendor agreements.

Compliance

Stay up-to-date with relevant laws and regulations impacting the firm’s business activities.

Oversee the preparation and submission of required regulatory filings, disclosures, and reports.
