The Sr Legal Counsel will provide legal guidance, interpretations, advice and recommendations for action to internal and external stakeholders and senior and executive management.

Fundamental Components:
The Senior Legal Counsel Corporate Services position will fill a critical legal need for the company by (i) providing focused legal counsel and advice on a range of matters and projects throughout the entire enterprise; (ii) supporting business owners with mergers and acquisitions, private equity investments, joint ventures and strategic collaborations; (iii) negotiating and drafting a wide variety of contracts and other agreements in connection with complex transactions and diverse vendor arrangements; (iv) managing pre-litigation disputes involving an assortment of transaction-related contractual issues for various business units; (v) assisting with U.S. Securities and Exchange Commission filings and drafting related disclosure; and (vi) interacting with all levels of colleagues, including senior management, peers and subordinates, on a mixture of commercial matters. In addition, the Senior Legal Counsel will effectively manage outside counsel and have primary responsibility for establishing and maintaining best practices and guidance materials in connection with certain subject matter.
Primary business areas to be supported by the Senior Legal Counsel Corporate Services will be Corporate Development, External Growth and Development, Transformation, and Finance.

BACKGROUND/EXPERIENCE desired:
Required qualifications:

  • Eight plus years of experience as a lawyer in a law firm and/or in-house corporate setting;
  • Experience negotiating, drafting and reviewing a wide variety of transactional agreements;
  • Senior-level experience in mergers and acquisitions;
  • Experience negotiating, drafting and reviewing joint venture and other collaboration agreements;
  • Experience drafting and negotiating private equity investments;
  • Experience researching and drafting disclosure that is responsive to U.S. Securities and Exchange Commission rules and regulations.
  • Must currently be admitted to a state bar and in good standing.
  • Preferred Qualifications: Prior in-house experience in the health insurance industry strongly preferred.

    The highest level of education desired for candidates in this position is a JD.
