Description:

LightForce Orthodontics is seeking a talented, motivated, independent commercial attorney to join our journey of transforming the orthodontics industry and help patients across the world enjoy their smile. The Commercial Counsel will primarily support LightForces go-to-market team with a wide variety of commercial contracts. You also will assist LightForce with managing risk and navigating the complex regulatory and compliance environments for medical device companies in the United States and internationally.

Essential Duties & Responsibilities:

  • Draft, negotiate, and advise clients on a broad range of legal and contractual matters to support the Companys medical device business, including but not limited to:
    • Consulting agreements, professional services agreements, license agreements, collaboration agreements, distribution agreements, sponsor agreements, and confidentiality and nondisclosure agreements
  • Advice commercial business partners and key stakeholders with respect to:
    • Commercial activities including review of promotional materials and resources, marketing strategies, salesforce initiatives and training, industry educational events and market access
    • Compliance with specific legislation and regulatory requirements (e.g., Anti- Kickback Statute, False Claims Act, and the Federal Food, Drug and Cosmetic Act)
  • Identify and assess legal risks relevant to a medical device business and collaborate with cross-functional teams to implement risk mitigation strategies
  • Manage implementation of processes to collect and analyze aggregate spend data from multiple functions for compliance with federal Sunshine Act reporting requirements and similar state agencies
  • May counsel clients on privacy, advertising, employment and immigration law
  • Manage outside counsel, as needed, for designated legal matters

Education & Experience:

  • Juris Doctorate (JD) degree from an accredited law school
  • An active license to practice law in any state
  • 3+ years experience with a focus on in-house experience at a medical device or life sciences company

Required Qualifications:

  • Ability to draft and negotiate complex agreements
  • Ability to interpret regulations, standards and guidance documents and implement requirements
  • Ability to independently identify, analyze and render legal advice on complex issues, and understand the business impact of legal advice
  • Knowledge of healthcare regulations, including HIPAA, the Anti- Kickback Statute, the False Claims Act, the Federal Food, Drug and Cosmetic Act, and general contract knowledge
  • Fluent in English (verbal and written)
  • Exceptional written and oral communication, and technical writing skills
  • Effective research and analytical skills
  • Ability to work independently and collaboratively in a fast-paced environment
  • Ability to meet multiple deadlines across a variety of projects/programs, with a high degree of accuracy and efficiency

  • Work is generally performed in an open office, sedentary position.
