ABOUT THE POSITION

We are seeking a highly motivated and organized candidate for a Counsel/Sr. Counsel position. The successful candidate will demonstrate sound industry knowledge, superior communications, and detail-oriented organizational skills.Our legal team is seeking an experienced attorney to support our growing PV+S project pipeline on project development, PPA and EPC negotiations, M&A, financing, and regulatory matters. This position reports to the General Counsel. The ideal candidate will have experience in the renewable energy industry on utility-scale solar and battery storage. This is a highly critical and cross-functional role, as the individual will work closely with all stakeholders and across all cross-functional teams from the inception of a new project through financing and construction. The ideal candidate is a true self-starter, a passionate and creative problem solver who will be able to hit the ground running with little supervision, and who understands both the legal and business objectives of renewable energy development and project financing.

ESSENTIAL FUNCTIONS AND RESPONSIBILITIES

  • Manage and/or assist with, as directed, M&A transactions, joint ventures, asset rotation transactions, and tax equity transactions
  • Review, draft and negotiate transaction documents such as asset purchase agreements, equity purchase and sale agreements, capital contribution agreements, shareholders agreements and limited liability company agreements
  • Structure, draft, review and effectively negotiate membership interest purchase and sale agreements, power purchase agreements, interconnection agreements, EPC agreements, services agreements, and other solar project related agreements;
  • Structure, draft, review and effectively negotiate debt and equity financing structures, including portfolio financing structures, back-leverage debt, tax equity partnership documents.
  • Coordinate efforts with other internal teams, including investments and M&A, finance, real estate, tax, environmental, permitting and regulatory.
  • Perform diligence and provide diligence guidance to development teams and external counsel regarding project acquisition and greenfield development.
  • Provide general legal support to finance, business development, construction and operations teams in the deployment of renewables projects.
  • Provide general legal counsel and strategic guidance to senior management.
  • Effectively and efficiently engage and manage outside counsel.
  • All other duties as assigned by General Counsel.

REQUIRED SKILLS AND QUALIFICATIONS

  • Juris Doctor degree from an ABA accredited law school.
  • Admitted to applicable state bar.
  • Minimum 6 years of experience with commercial transactions, construction, and/or financing legal experience for solar, storage, wind or other energy related experience required.
  • Ability to work closely with cross-functional teams of internal and external resources.
  • Excellent leadership, communication, organizational, and negotiation skills.
  • High level of integrity with the ability to cultivate and maintain positive relationships.
  • An entrepreneurial attitude and work ethic with a desire to roll up your sleeves and get the job done in a fast-paced environment and rapidly growing business.
  • Willingness to be flexible about your work schedule to support closings and to meet deadlines and shifting demands and priorities.
  • Willingness to travel as required.
