Associate Director, Securities Counsel (Hybrid)

Responsibilities:

• Assist with PTCs SEC reporting and compliance efforts, including responsibility for 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings.
• Work on M&A, financings and other strategic transactions.
• Participate in management of PTCs corporate subsidiaries.
• Participate in overseeing corporate governance and SOX compliance matters.
• Provide advice and counsel to ensure compliance with SEC regulations and stock exchange requirements.
• Work on a team basis with Finance and People Services to develop and maintain best practices related to overall company organization and business and related reporting requirements.
• Work with IR and Communication teams on internal and external communications.
• Assist on ESG related disclosure and compliance matters.
• Work with outside counsel, other legal personnel, technical experts, paralegals, corporate staff, support staff and business unit representatives.
• Facilitate training initiatives related to public company status (insider trading policy, individual reporting requirements, management of equity awards).
• Work with People Services on oversight and management of stock ledger and equity administration system.
• Performs other tasks and assignments as needed and specified by management.

Qualifications:

• JD and admitted to practice in the US
• Either current active New Jersey Bar membership, or eligible for a NJ limited in-house license
• Minimum of 4 years working in the securities department of a law firm or similar experience.
• Special knowledge or skills needed and/or licenses or certificates required.
• Significant public company securities and general corporate experience.
• Experience with M&A and other strategic transactions.
• Excellent interpersonal skills, business judgment and superior work ethic.
• Well organized, highly team-oriented and able to work with cross-functional teams and manage numerous projects simultaneously under deadline pressure.
• Superior verbal and written communication and analytical skills coupled with the ability to resolve complex issues in creative and effective ways
• Ability to use legal skills and judgment to advance corporate objectives.
• Demonstrated ability and willingness to function with a high degree of autonomy.
• Up to 5% travel
• Hybrid position - candidate must have flexibility to come to NJ Office as needed occasionally

Special knowledge or skills and/or licenses or certificates preferred.

• Prior experience with a client or employer in the life sciences industry.
• Education or experience in the sciences (chemistry or biology) or other relevant educational specialization (for example, public health).
• Prior in-house counsel experience.
