Corporate Counsel:

As Corporate Counsel at VF, you will handle a variety of engaging legal issues alongside an accomplished and supportive team of colleagues around the globe, enabling some of the worlds most beloved and iconic brands. We are seeking a business-oriented attorney with corporate and transactional legal experience to join our team. The primary focus is corporate governance, securities regulation, subsidiary and legal entity management, M&A, and other corporate transactions. This position also supports our global Supply Chain and Indirect Procurement team with sourcing contracts.

How You Will Make a Difference and Succeed:

1. Build strong relationships with internal and external stakeholders, serving as a trusted advisor and valued teammate

2. Provide legal advice and guidance to business leaders on matters of corporate law, advising business leaders with strategies to mitigate risk

3. Support large, global M&A transactions

4. Facilitate internal corporate transactions for our large network of subsidiary entities

5. Handle corporate governance matters and documentation in accordance with the corporate law teams strategy

6. Support VFs subsidiary and legal entity management

7. Prepare and review SEC filings, such as Section 16 filings, 8-Ks, 10-Qs, 10-Ks and proxy statements

8. Support governance needs relating to employee equity and executive compensation matters

9. Provide legal support for corporate restructuring projects and initiatives for International Tax, Treasury, Corporate Accounting, and Mergers & Acquisitions teams

10. Advise, draft, and negotiate Intercompany agreements

11. Advise, draft, and negotiate agreements and contracts in support of our Global Supply Chain and Indirect Procurement team.

12. Support other matters as needed, including real estate and cybersecurity

13. Support the business leaders, colleagues, and other stakeholders to recognize and manage risks, employ risk-mitigation strategies, advise on regulatory and contractual compliance, and assist with various operational and office management matters.

14. Stay up to date on new legal and company policies, regulations, trends, and procedures relating to corporate law and corporate governance

  • Strong end-user technology skills are required (including specifically word processing, database, and presentation technologies), as well as the interest and willingness to adopt new technologies rapidly to improve productivity and efficiency
  • Experience working with multiple, diverse teams at a global organization is preferred

Educational/ Position Requirements:

  • 8 years of experience as attorney at reputable law firm or combination of reputable law firm and in-house, or 4 years of experience focused specifically on securities law, M&A, corporate law and corporate governance.
  • Juris Doctor (JD) degree with demonstrated strong academic performance from a top-tier, ABA-accredited law school
  • Admitted to practice law and in good standing in at least one state/jurisdiction
  • Strong general corporate background; public company securities experience helpful
  • Ability to lead, influence, and advise at all levels of the VF organization
  • Ability to work well under pressure
  • Experience working with international teams and cross-border experience a plus
  • Experience working with Tax, Treasury, Accounting, Finance, Procurement, M&A, Supply Chain, and other corporate functions a plus

Special Physical and/or Mental Requirements:

  • Travel by air and overnight, as required up to 10% of the time.
  • Lifting and/or bending, lifting 10 lbs of weight.

Hiring Range:

$132,000.00 USD - $165,000.00 USD annually

Incentive Potential: This position is eligible for additional compensation awards that may include an annual incentive plan, sales incentive, or commission potential. Specific details of the additional compensation eligibility for this position will be provided during the recruiting and interview process.
