Position Overview:

As Corporate and Commercial Contracts Attorney, the successful candidate will be accountable for providing primary legal support to Motivas Fuel Sales and Marketing (FSM) business and existing joint venture portfolio, as well as providing support on M&A matters both within and outside of the FSM business. The position is on the Corporate and Commercial Contracts team within Motiva Legal and Corporate Affairs. As such, the candidate may also be required to support other commercial legal matters or projects as needs and priorities may require from time to time.

Responsibilities:

  • Providing general legal support for FSMs day-to-day business activity as well as for any transactional activity related to the business;

  • Understanding the commercial aspects of Motivas FSM business and the interconnectivity with Motivas other business units;

  • Drafting, analyzing, and ensuring that contracts and other documents reflect commercial decisions, legal obligations and risk mitigation strategies undertaken by the business;

  • Collaborating with other lawyers and support functions within Motiva in support of the FSM business;

  • Providing legal support to Motivas Joint Venture Management group, which supports Motivas four existing joint ventures;

  • Providing legal support to Motivas Strategy and Business Development group for M&A activity within and outside of the FSM business;

  • Communicating and negotiating with counsel for business partners, joint ventures, other third parties, and regulatory or government agencies;

  • Identifying legal risks, sensitivities, and potential problems and proposing constructive, commercially realistic solutions to the business;

  • Identifying options for achieving client objectives within applicable legal restraints and working cooperatively toward legal resolutions;

  • Communicating with clients and updating them on significant developments in the matters handled; and

  • Engagement and management of external counsel where outside expertise is necessary.

Experience and Qualifications:

Basic Qualifications:

  • JD from an accredited US law school with a license to practice law in the State of Texas.

  • 4+ years of experience in general commercial law.

  • Attention to detail and time management skills.

  • Flexibility to work in a fast-paced, high-energy environment and manage multiple competing priorities within challenging timeframes.

  • Demonstrable record as someone who can coordinate with a variety of stakeholders to deliver on business objectives.

  • Excellent interpersonal and relationship-building skills including the ability to interact with all levels of staff and management.

Preferred Qualifications:

  • Experience with commercial agreements, license agreements, mergers and acquisitions, and joint ventures is preferred.
