The Senior Counsel is a licensed attorney who serves as a trusted advisor to the company on a variety of legal matters. This individual will play a vital role as part of a small legal department in protecting the company's interests, ensuring compliance with laws and regulations, and mitigating legal risks. This position will report to the company’s General Counsel and Corporate Secretary.

Essential duties and responsibilities include the following. Other duties may be assigned.

  1. Provide strategic legal counsel to internal stakeholders on a broad range of corporate matters, including regulatory compliance, business strategy, deal structures, contracts and transactional issues, corporate governance, and company policies.
  2. Manage legal review for a high volume and wide range of commercial contracts, including business partner and supply agreements; SaaS, technology and licensing agreements; development agreements; services, agreements; leases and other real estate agreements, and confidentiality agreements.
  3. Be a legal go-to for the product, engineering, supply chain, support, and marketing teams, advising them on all legal aspects related to Virtuoso’s product offerings, including their development, marketing and sale of products and services and compliance with applicable laws.
  4. Prepare and maintain contract forms to support the company’s businesses and areas of operation.
  5. Assist General Counsel in litigation management.
  6. Assist in managing company’s international subsidiaries and legal entities, including coordinating subsidiary board meetings, preparing local filings, and administering corporate records.
  7. Collaborate with cross-functional partners across the company to provide corporate law guidance and support on relevant projects and workstreams.
  8. Assist General Counsel in monitoring and compliance with developing legal issues, including data privacy, AI, antitrust, and other topics relevant to the company and the industry. Stay up to date on core legal and industry developments affecting international subsidiary governance, compliance, travel law, technology law, international commercial law, and other key topics.
  9. Assist General Counsel in effectively managing external counsel, including on intellectual property and international matters.
  10. Help support business expansion and new market entry initiatives.
  11. Drive continuous improvements, scalability, and operational excellence in department processes and execution.
  12. Support other corporate legal projects as needed and as assigned by the General Counsel.

Educational and Skills Requirements:

  • J.D. degree from an ABA-approved law school or equivalent and a member of at least one state bar association in good standing
  • Member in good standing of the State Bar of Texas
  • 4-7 years’ related experience, minimum
  • Preferred combination of sophisticated law firm experience + in-house legal department experience- required
  • Commercial contracts, including B2B, B2C, vendor, consulting, technology/SaaS/licensing – highly preferred
  • Experience advising multinational, complex, fast-growing global companies, preferably with respect to software product offerings – highly preferred
  • Working knowledge of data privacy regulations such as GDPR, CCPA, etc. and emerging AI topics, as well as related issues in the marketing, advertising and hospitality industries – highly preferred
  • Legal entity management (foreign entities is a plus) is a plus
  • Experience developing and implementing compliance programs and policies is a plus
  • Excellent legal and business judgment with the ability to provide practical, concise advice - required
  • Excellent communication skills with a business-level to near native-level fluency in English (verbal and written); foreign language skills are a plus
  • Team player with strong interpersonal skills and the ability to proactively identify problems, drive projects, make complex cost/benefit assessments, identify pragmatic/creative legal and business solutions, and quickly earn the confidence of your colleagues - required
  • Ability to work both independently and collaboratively and to juggle competing priorities in a fast-paced, challenging environment - required

Travel Requirements:

  • Infrequent travel may be required to attend company events (1-3 trips per year).
  • Travel will be primarily domestic but may include some international.

Type/Nature of Contacts:

  • External: Interface with outside counsel occasionally.
  • Internal: Daily contact with Virtuoso staff.
