About the role

The Zillow Group Corporate and Securities legal team is looking for a skilled corporate law practitioner to join the company as Counsel! The Counsel will support Zillow Group on a range of public reporting, securities law, corporate governance, corporate development and general corporate law matters. Opportunities and responsibilities will include:

• Assisting with drafting and review of current, quarterly, and annual reports.

• Leading and/or contributing to the preparation of annual shareholder meeting materials, including annual proxy statements.

• Providing support to financial reporting and investor relations teams during quarterly earnings cycles, including research and advice on financial disclosure requirements and regulatory compliance.

• Monitoring, communicating, and advising leadership on changes of law and best practices for public companies.

• Maintaining and developing corporate governance policies and procedures and advising on related corporate and securities laws and listing exchange rules.

• Assisting with registered and unregistered debt and equity offerings and repurchase programs and managing ongoing compliance requirements.

• Supporting merger and acquisition activities and other strategic initiatives, including overseeing due diligence activities.

• Drafting, reviewing, and negotiating commercial contracts, including confidentiality, vendor, and customer agreements.

This role has been categorized as a Remote position. Remote employees do not have a permanent corporate office workplace and, instead, work from a physical location of their choice which must be identified to the Company. Employees may live in any of the 50 US States, with limited exceptions. In certain cases, an employee in a remote-designated job may need to live in a specific region or time zone to support customers or clients as part of their role.

In California, Colorado, Connecticut, Hawaii, Nevada, New York and Washington the standard base pay range for this role is $124,700.00 - $199,300.00 Annually. This base pay range is specific to California, Colorado, Connecticut, Hawaii, Nevada, New York and Washington and may not be applicable to other locations.

In addition to a competitive base salary this position is also eligible for equity awards based on factors such as experience, performance and location. Actual amounts will vary depending on experience, performance and location.

Who you are

• JD with state bar admission

• 4+ years of corporate and/or securities law practice in a law firm or as in-house counsel

• Experience working for and/or representing publicly traded companies

• Active listener and outstanding oral and written communicator

• Self-starter with a passion for detail and problem-solving, outstanding organizational skills, and excellent follow-through

• Ability to listen to, collaborate with, and provide strategic counsel to business clients

• Excellent judgment and outstanding integrity
