Princeton Legal Search Group has been exclusively engaged to lead the search for a Corporate Counsel position in Kansas City, Missouri. Our client is a leading provider of outsourced services to hospitals, specializing in sterile processing solutions, including management, labor, equipment and supplies utilized in the sterilization of surgical instruments and settings. With a commitment to excellence and innovation, we empower healthcare organizations to streamline operations, enhance patient care, and optimize outcomes.

As the Corporate Counsel, you will play a pivotal role in providing strategic legal guidance and ensuring compliance with regulatory standards in the dynamic healthcare industry. You will serve as the primary legal advisor, offering counsel on a wide range of legal matters impacting the company’s operations, contracts, and business strategies.

Key Responsibilities:
1. Legal Strategy and Compliance:
a. Develop and implement legal strategies aligned with the company’s objectives and growth plans.
b. Ensure compliance with federal, state, and local regulations governing healthcare services and business operations.
c. Stay abreast of legislative and regulatory changes affecting the healthcare industry and advise the executive team accordingly.
d. Oversee corporate governance matters and ensure adherence to legal and ethical standards.

2. Contract Negotiation and Management:
a. Lead negotiations for complex contracts with hospitals, healthcare providers, vendors, and other stakeholders.
b. Review, draft, and negotiate a variety of agreements, including service contracts, licensing agreements, and partnership agreements.
c. Mitigate legal risks and ensure contract terms are favorable to the company while maintaining positive relationships with clients and partners.

3. Risk Management and Litigation:
a. Identify potential legal risks and develop strategies to mitigate them proactively.
b. Manage and oversee any litigation or legal disputes involving the company, collaborating with external counsel when necessary.
c. Provide guidance on risk management practices to various departments within the organization.

4. Regulatory Compliance and Privacy:
a. Ensure compliance with healthcare regulations such as HIPAA, Stark Law, Anti-Kickback Statute, and others relevant to the company’s operations.
b. Develop and implement policies and procedures to safeguard patient information and ensure data privacy and security.
c. Conduct periodic compliance audits and training sessions for employees to maintain adherence to legal and regulatory requirements.

5. Stakeholder Engagement and Communication:
a. Serve as a key liaison between the company and external legal counsel, regulatory agencies, and industry associations.
b. Collaborate with cross-functional teams including Operations, Finance, and Human Resources to address legal issues and support business initiatives.
c. Communicate legal updates and recommendations effectively to senior management and the board of directors.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Missouri state bar and in good standing.
  • Minimum 5 years of experience practicing law, preferably with a focus on healthcare law and
  • corporate transactions.
  • Strong understanding of healthcare regulations, compliance requirements, and industry
  • standards.
  • Proven track record in negotiating and drafting complex contracts.
  • Excellent communication, negotiation, and problem-solving skills.
  • Ability to work collaboratively in a fast-paced, team-oriented environment.
  • Prior experience in a healthcare-related organization or law firm specializing in healthcare law is
  • preferred.
