Corebridge Financial Global Legal, Compliance, Regulatory and Government Affairs department is comprised of attorneys and other professionals providing high quality advisory and transactional support with integrity and objectivity across all parts of the organization. The team ensures an operating environment that minimizes legal, regulatory and reputational risks and complies with all laws and regulations and Corebridge Financial policies & procedures. This is a global, diverse and award-winning team that has been recognized for its leadership and innovative solutions. About the role

This position reports to the Chief Securities Disclosure attorney and is responsible for assisting the Chief Securities Disclosure attorney in providing legal advice and counsel to the Chief Financial Officer, Chief Investor Relations Officer, Chief Accounting Officer and others across the organization on general corporate and securities matters, with primary responsibility for the legal support related to the companys SEC disclosure and the activities of the Audit Committee of the Board of Directors.

Specific Responsibilities

  • Draft and provide counsel in support of SEC, NYSE and other securities filings, including current and periodic reports and announcements, Section 16 filings, registration statements, proxy statements and other regulatory filings and reports
  • Assist with corporate compliance with applicable securities laws and NYSE regulations
  • Draft and prepare materials for Board of Directors, committee and stockholder meetings
  • Assist with implementing and overseeing the companys insider trading compliance program
  • Draft resolutions, consents, governing documents, certificates and minutes
  • Draft and maintain securities and governance-related policies and procedures

What you need to know

  • Flexible team player who can accommodate shifting priorities and is committed to the overall success of the company and its attorneys and staff.
  • Juris Doctor; U.S. state bar admission; minimum of 4+ years of legal experience with a law firm and/or as in-house counsel preparing and reviewing SEC filings
  • Experience in corporate drafting, including resolutions, consents, minutes, certificates, charters, and bylaws
  • Excellent organizational skills, detailed oriented and able to complete projects and other assignments efficiently, timely and with a minimum of supervision.
  • Superior written and verbal communication skills and analytical skills enabling timely and practical identification and communication of legal issues and risks.
  • Solid interpersonal skills and able to interact with a wide range of stakeholders, from senior executives to technologists.

For positions based in Woodland Hills, California, the base salary range is $150,00 - $200,000. For positions based in New York, New York the base salary range is $150,000 - $200,000. For positions based in Jersey City, NJ the base salary range is $150,000 - $200,000. In addition, the position is eligible for a bonus in accordance with the terms of the applicable incentive plan.
