Job Summary (Remote):

The ideal candidate will have a transactional and regulatory compliance background with a focus on software licensing agreements. You will be responsible for: (i) reviewing, drafting, editing and negotiating contracts with customers, vendors, contractors and partners; and (ii) for corporate regulatory and contractual compliance.


Interpersonal skills are critical to this role. You will work closely with the General Counsel, other counsel, sales, operations, IT, and executives.

Responsibilities

  • Drafting, reviewing, negotiating, and managing the execution of a broad array of complex commercial, procurement, and other contracts, including agreements with suppliers and other vendors
  • Advising management on the companys rights and obligations under existing contracts, including agreements with existing strategic partners
  • Structuring complex transactions and developing solutions to challenging legal and business issues, while ensuring the companys intended goals are realized
  • Identifying the need for, engaging, and incorporating the advice of, financial, technical, and other subject matter experts when working on a contract or transaction
  • Responsible for managing (including planning and implementing) the Companys legal, regulatory compliance program
  • Analyzing compliance and legal issues facing the Company and make recommendations to the General Counsel, other attorneys and other members of management regarding such compliance and legal issues
  • Responsibilities also including serving as the legal liaison with multiple business units and departments, including data security, human resources, procurement, finance, accounting, tax and information technology, among others to advise on ongoing compliance and data privacy issues and identification of compliance and data privacy issues at the outset of new projects, technology and initiatives
  • Work with and provide assistance to the General Counsel and other attorneys in all matters related to Fullsteams compliance policies
  • Help manage and keep under periodic review the Companys compliance plans and related arrangements to include updating policies and guidance, processes and putting in place robust, time-bound remedial plans where necessary
  • Serving as a subject matter expert on compliance and regulatory matters and providing strategic legal guidance that balances applicable regulatory requirements with practical, commercial considerations for the relevant stakeholders
  • To provide assistance and analysis on compliance and legal questions to the Company's other departments, including, human resources, finance, accounting, data security, tax and information technology
  • Independently contributes to the continued development and implementation of the compliance function, with particular focus on compliance with regulatory requirements
  • Analyzes existing and proposed legislation, regulatory announcements and industry practices applicable to the legal profession to develop and implement procedures to meet existing and upcoming requirements
  • Understands underlying risks and helps prepare risk-based reviews of existing and emerging regulatory requirements applicable to Fullsteam
  • May contribute to the development of recommendations for corrective action of compliance deficiencies and issue tracking to ensure resolution efforts proceed timely and effectively
  • Contributes to the preparation of time sensitive reporting and appropriately escalates compliance issues to the General Counsel, other attorneys, and company clients
  • Assist the General Counsel to train applicable new and existing personnel, regarding compliance obligations
  • Recommend changes to the Companys compliance policies and procedures as necessary based on changes to applicable law and industry standards

Minimum Qualifications

  • Education: J.D. degree required
  • At least 5 years of experience as a practicing attorney
  • Skills: Extensive negotiation and drafting skills, electronic research skills, ability to effectively deal with lawyers and clients at all levels, strong analytical skills with attention to detail, excellent written and verbal skills, and computer experience.
  • Strong interpersonal skills required as well as the ability to resolve issues quickly and effectively and to make appropriate recommendations to the General Counsel, team members and others at the business
  • Willingness to learn the substantive law as it relates to compliance
  • Requires the ability to analyze many variables and choose the most effective course of action at any given point in time
  • Must handle multiple tasks and diverse work issues on a daily basis
  • Must be able to handle stressful situations and interact with various personalities at all levels in the business
  • Intellectual Property experience a plus but not required

Physical demands: While performing the duties of this job, the employee is occasionally required to walk; sit; use hands to finger, handle, or feel objects, tools, or controls; reach with hands and arms; balance; stoop; talk or hear. Employee must occasionally lift and/or move up to 15 pounds.

This position is 100% remote. The candidate would need to have a suitable work environment set up as their home office and be comfortable managing their own schedule in a non-corporate office environment.
